外资并购国家安全审查中的关键技术——基于美国CFIUS审查的分析

【摘要】：正近年来,中国一方面对内大力建设创新型国家、发展战略新兴产业,以提升自主创新能力,另一方面鼓励企业"走出去"开展跨国并购,以获取、消化并吸收新技术。但是从"巴黎统筹委员会"到"纳瓦森安排",西方发达国家一直在对中国实施技术封锁,其中对华技术出口管控是避免敏感技术流向中国的主要机制。除了出口管制外,将关键技术作为核心考虑要素的外资并购国家安全审查实际上是阻碍中国企业获得技术的又一重要环节。
[Abstract]:In recent years, on the one hand, China has made great efforts to build innovative countries, develop emerging industries in strategies, so as to improve their capacity for independent innovation. On the other hand, China encourages enterprises to carry out cross-border acquisitions to acquire, digest and absorb new technologies. But from the Paris Coordinating Committee to the Navason arrangement, Western developed countries have been carrying out technical blockade on China. In addition to the export control, the national security review of foreign capital merger and acquisition, which takes the key technology as the core consideration, is actually another important part of Chinese enterprises from obtaining technology.
