采矿权流转中的法律问题研究

【摘要】：现代社会对高科技产品的依赖程度越来越高，而高科技产品的材料均离不开矿产资源，矿产资源作为一种不可再生的资源其日益短缺是一种不可避免的趋势。为保障经济社会的可持续发展，必须重视矿产资源的保护与调配，为此必须完善我国采矿权流转的法律制度。但是，目前采矿权流转市场乱象丛生，变相流转、倒卖或黑市交易屡见不鲜。鉴于此，笔者对采矿权流转中的法律进行了研究。本文主要分为四部分：第一部分，对采矿权及采矿权的法律属性进行了重新界定。本文认为，采矿权是指一定的社会组织和公民依法经过国家授权的行政机关取得的占有、开采矿产资源，加工、使用、处分开采出来的矿产品，从而获得收益，以及从事与此密切相关的其他活动的权利①；采矿权的法律属性应纳入动产物权的范畴。第二部分，指出了采矿权流转现行法律制度中的缺陷。主要包括：立法的指导思想存在冲突；公法和私法之间存在冲突；上位法和下位法之间存在冲突；采矿权土地使用权和土地权之间存在冲突。第三部分，讨论了采矿权流转中的一些法律问题的处理方法。主要包括：合同效力的认定、采矿权能否承包、采矿权能否出租、采矿权能否抵押以及与土地权冲突如何解决等。主要观点是：采矿权转让合同的效力认定要注意把握平衡原则；采矿权不能承包、出租，但能抵押。第四部分，探讨了有关法律制度的完善。主要包括：配套措施的完善及相应法律的修改。
[Abstract]:Modern society relies more and more on high-tech products, and the materials of high-tech products can not be separated from mineral resources. As a kind of non-renewable resources, the increasing shortage of mineral resources is an inevitable trend. In order to ensure the sustainable development of economy and society, we must attach importance to the protection and allocation of mineral resources, and improve the legal system of mining right circulation in China. However, the current mining rights transfer market chaos, disguised circulation, resale or black market transactions are common. In view of this, the author has carried on the research to the mining right circulation law. This paper is divided into four parts: the first part redefines the legal attributes of mining rights and mining rights. This paper holds that mining rights refer to the possession, mining, processing, use and disposal of mineral resources obtained by certain social organizations and citizens through the administrative organs authorized by the state according to law, thereby obtaining benefits. The legal attribute of mining right should be included in the category of movable property right. The second part points out the defects in the current legal system of mining right circulation. It mainly includes: the conflict between the guiding ideology of legislation; the conflict between public law and private law; the conflict between superior law and lower law; and the conflict between land use right and land right of mining right. In the third part, the author discusses the methods of dealing with some legal problems in the circulation of mining rights. It mainly includes: the validity of the contract, whether the mining right can be contracted, whether the mining right can be leased, whether the mining right can be mortgaged and how to resolve the conflict with the land right, etc. The main points are: the validity of mining rights transfer contract must pay attention to the balance principle; mining rights can not contract, rent, but can mortgage. The fourth part discusses the perfection of relevant legal system. Mainly include: the improvement of supporting measures and the amendment of corresponding laws.
