结算工程量形成规则研究

【摘要】：在实际工作中，发承包双方以及工程造价咨询人从自身利益出发对于工程结算方法的选择持有不同的态度，而实际中通常采用竣工图重算法进行竣工结算造成纠纷不断。《建设工程工程量清单计价规范》（GB50500—2013）的出台从根本上否定了竣工图重算法，，而提倡采取历次计量支付结果直接进入结算的结算规则，引起了发包人的反对。历次计量支付结果直接进入结算的结算规则是仿照FIDIC国际惯例的一般做法，并结合中国实际而形成的新型结算规则，具有明显的新时代的中国特色。新型结算规则的出台却引起了发包人的大力反对，因此全方位研究这种结算规则，指出结算规则的关键点对于指导发承包双方的实际工作有其重要的实践意义。美国法学家波斯纳认为，法律中的“大部分规则都可以转译为经济学语言”，因此这条规定的制定有其背后的经济学原理。本文将从经济学视角和法学视角对新型结算规则进行研究，指出新型结算规则的合理性和合法性，这将对降低发包人抵触情绪，顺利接受和执行这种结算规则有其重要的现实意义。为解决上述问题本文从工程结算的本质出发，从合同之债、合同状态、合同控制等角度重新审视工程结算，用以证明新型结算规则相比于竣工图重算法所体现出来的合理性和合法性；此外，因为所有的争议归根到底是对于结算工程量的争议，因此本文通过对于工程量清单计价体系结算工程量形成的规定和合同体系对于结算工程量形成的规定进行分析，建立结算工程量形成标准流程，用以减少今后实际工作纠纷；最后，本文通过不完全契约理论、交易费用理论、不完全合同平衡点、套牢问题阐明了新型结算规则的合理性，利用委托代理的法律效力和程序公平促进实体公平证明了新型结算规则的合法性。
[Abstract]:In actual work , both contracting parties and engineering cost consultants have different attitudes towards the selection of engineering settlement methods from their own interests , while in practice the settlement rules of completion settlement are often caused by the implementation of the built - in graph reconstruction algorithm . The settlement rules for direct access to settlement rules are the Chinese characteristics of the new era . The introduction of the new settlement rules leads to the strong opposition of the Employer . Therefore , the key points of the settlement rules are of great practical significance for guiding the actual work of the contracting parties .

The American jurist Posner holds that " most of the rules in the law can be translated into economic language " , so the formulation of this provision has the economic principle behind it . This article will study the new settlement rules from the perspective of economics and the perspective of law , and point out the rationality and legality of the new settlement rules . This will have important practical significance for reducing the resistance of the Employer , accepting and implementing such settlement rules smoothly .

In order to solve the above problems , the paper re - examines the project settlement from the angle of contract debt , contract status , contract control and so on from the nature of project settlement .
In addition , because all disputes are in the final settlement of the dispute of settlement quantities , the paper analyzes the formation of settlement quantities of the bill pricing system and the provisions of the contract system for settlement quantities , and establishes the standard process of settlement quantities to reduce the actual work disputes in the future ;
Finally , through incomplete contract theory , transaction cost theory and incomplete contract equilibrium point , the thesis expounds the rationality of the new settlement rules , and makes use of the legal effect and procedural fairness of the entrusted agent to prove the legality of the new settlement rules .
