【摘要】:互联网经济是现代社会的主流经济,其蓬勃发展的速度之快,使整个全球市场享受着其所带来的价值。互联网飞速发展的背后是其充分竞争的结果,但是这种充分的竞争也会产生垄断,相应地就会出现反垄断问题。相关市场是反垄断中首先要考虑的,同时也是最复杂的一个问题,因为它不止涉及垄断问题也关系经济理论的运用。互联网产业相关市场的网络效应、双边市场、动态的竞争等特点造成互联网产品相关市场界定在运用时出现与传统相关市场界定方法不相符的问题。这是传统经济不曾遇到的。由于互联网产品边界的模糊与传统产品市场的重叠使定性的产品替代分析法不容易找到可替代的产品;由于互联网产品的双边市场、网络效应使定量的SSNIP法不能单纯根据一边市场以价格来判断相关市场的界定。而随着2010年“360诉腾讯案”的发生,互联网产业相关市场界定就成为了案件争议的焦点与难点,,更是引起了理论界的极大关注,更多地暴露了相关市场界定在立法方面存在的立法滞后和层次断裂,执法部门混乱;司法方面对互联网相关市场界定方法认识偏差,不能准确运用相关方法。而最高人民法院审理的360诉腾讯市场地位支配案却给予了互联网产业相关市场界定的认识思路;对待互联网产业相关市场界定的态度及如何更合理的运用相关市场界定方法应用于互联网产业。在滥用市场支配的案件中,合理地界定相关市场有助于执法者更加客观分析经营者的市场份额、准确分析竞争行为的性质,更加合理、科学地认定经营者是否存在垄断行为以及是否需要承担相应的责任。因此,必须从根本上着手促进立法和司法适应互联网产业相关市场界定。立法的可操作性和执法队伍的专业化是必须的,同时还有建立相关的案例指导;增加新的相关市场界定方法;引入“产品束”规则理论和采用审慎的态度等应对互联网产业相关市场界定问题,这样才能完善互联网产业相关市场界定。在反垄断案件的审理中,一般第一步是界定相关市场。结合互联网产业的特点弄清相关市场界定的一般思路,是正确界定互联网产业相关市场市场的前提;清晰界定互联网产业相关市场才能够确定其竞争状况,判断是否存在垄断。 本文除引言与结语外共分四章。 第一章论述了互联网产业界定相关市场的一般问题。首先论述相关市场概述,包括其界定涵义、界定考量因素和界定方法;其次论述互联网产业相关市场在传统市场上所不具有的特征。 第二章论述了界定互联网产业相关市场存在的问题。首先介绍互联网对相关产品市场界定的挑战。包括定性的产品替代分析所遭遇的难题和定量的SSNIP遭遇困境;其次分析互联网相关地域市场界定的误区,包括将互联网地域市场界定为“互联网”和将互联网地域市场界定为全球市场。 第三章论述了我国相关市场界定法律规范现状及司法实践。首先介绍我国当前相关市场界定的现行规范,进而指出其存在的不足;然后通过分析奇虎360起诉腾讯QQ滥用市场支配地位这一典型案例指出对最高法院在审理该案中的借鉴和启示。 第四章论述了我国互联网产业相关市场界定法律规制及方法完善建议。该章从两个方面论述。一是在立法方面,完善相关法规、建立独立的执法团队和完善案例指导制度。二是司法实践方面,采取审慎的态度、关注相关时间市场、引入新的界定相关市场的方法和“产品束规则”的确立。
[Abstract]:The Internet economy is the mainstream economy of modern society. The rapid development of the Internet makes the whole global market enjoy its value. Behind the rapid development of the Internet is the result of its full competition, but this full competition will produce monopoly, and there will be an anti monopoly problem. The related market is antitrust. First of all, it is also the most complex problem, because it involves not only the monopoly problem but also the application of the economic theory. The network effect of the Internet industry related market, the bilateral market, the dynamic competition and so on cause the definition of the Internet product related market to be inconsistent with the traditional related market definition method. This is a problem in the traditional economy. Because the ambiguity of the Internet product boundary and the overlap of the traditional product market make the qualitative product substitution analysis not easy to find alternative products; due to the bilateral market of Internet products, the network effect makes the quantitative SSNIP method not only based on the price of one side market. With the emergence of the "360 lawsuit Tencent case" in 2010, the definition of the Internet industry related market has become the focus and difficulty of the case dispute, and it has aroused great concern in the theoretical circles, and more exposes the legislative lag and level breaking of the relevant market definition, the confusion of the law enforcement departments and the judicature. The 360 lawsuit of the 360 Tencent market position which the Supreme People's court hears has given the understanding thought of the definition of the Internet industry related market, the attitude towards the definition of the related market in the Internet industry and how to use the relevant market more reasonably. The definition method is applied to the Internet industry. In the case of abuse of market dominance, the rational definition of the relevant market helps the law enforcement to analyze the market share of the operator more objectively, accurately analyses the nature of the competition behavior, more reasonable, and scientifically identify whether the operator exists the monopolistic behavior and whether it needs to bear the corresponding responsibility. Therefore, we must fundamentally promote the legislation and judicature to adapt to the definition of the Internet industry related market. The operability of the legislation and the specialization of the law enforcement team are necessary. At the same time, it is necessary to establish relevant case guidance, increase the new related market definition method, introduce the "product bundle" rule theory and adopt prudent attitude and so on. In the trial of antitrust cases, the first step in the trial of antitrust cases is to define the relevant markets. To clarify the general ideas of the relevant market definition in the light of the characteristics of the Internet industry, it is the prerequisite for the correct definition of the related market market in the interconnected industry; The relevant market of Internet industry can determine its competitive situation and decide whether there is monopoly.
In addition to the introduction and conclusion, this article is divided into four chapters.
The first chapter discusses the general problems of the Internet industry to define the relevant market. First, it discusses the related market overview, including its definition, defining factors and defining methods; secondly, discusses the characteristics that the Internet industry related market does not have in the traditional market.
The second chapter discusses the problems that define the related market in the Internet industry. First, it introduces the challenges of the Internet to define the related product market, including the difficult problems encountered by the qualitative product substitution analysis and the quantitative SSNIP encounters. Secondly, it analyzes the misunderstandings of the definition of the Internet related regional market, including the definition of the Internet regional market. For the "Internet" and the Internet regional market as a global market.
The third chapter discusses the status of legal norms and judicial practice in the definition of relevant market in our country. First, it introduces the current norms of the current relevant market definition in China, and then points out the shortcomings of its existence; then, through the analysis of the typical case of the abuse of the dominant position in the market by Qihoo 360 suing TECAN QQ, it points out that the Supreme Court is used for reference in the case. The fourth chapter discusses the legal regulation and methods to improve the relevant market definition of the Internet industry in China. This chapter discusses from two aspects. One is to improve the legislation, improve the relevant regulations, establish an independent law enforcement team and improve the case guidance system. Two is the judicial practice, take a cautious attitude, pay attention to the relevant time market and introduce a new one. The way to define the relevant market and the establishment of "product bundle rules".
