论设立中公司的民事主体地位——以德国法为借鉴

【摘要】：设立中公司是作为共同共有体的民事主体,其在特定的法律关系中具有权利能力。设立中公司是以公司成立为目的的过渡性组织体,因其过渡性和近公司性而成为一种独立的组织形式,但从其不具有法人资格的特征来看,又与合伙企业具有同质性。设立中公司始于发起人制定公司章程,在我国现行法律体系下,只有建立公司章程预登记制度方能确定章程制定和生效的时间,并使公司章程的制定受到重视,发挥其公司自治规则的作用。设立中公司是以发起人为成员的组织体,发起人是发起设立公司之人,是制定公司章程并向公司出资的人,其在公司成立后转为公司股东。设立中公司不具有独立的责任能力,在公司成立前或者公司最终未能成立,则应由发起人对于公司设立过程中产生的义务和责任共同承担责任。
[Abstract]:As a common common body, the company is the civil subject, which has the right capacity in the specific legal relationship.The establishment of a company is a transitional organization whose purpose is to establish the company. It has become an independent organizational form because of its transitional and near-corporate nature. However, from the point of view of its lack of legal personality, it has the same quality with the partnership.The establishment of a company begins with the sponsors making the articles of association. Under the current legal system of our country, only the establishment of the pre-registration system of the articles of association can determine the time when the articles of association will be made and take effect, and the formulation of the articles of association will be attached importance to.Play its role as the rules of corporate autonomy.The founding company is an organization with promoters as its members, the initiator is the person who initiates the establishment of the company, the person who formulates the articles of association of the company and contributes to the company, and becomes the shareholder of the company after the establishment of the company.The establishment of the company does not have independent liability capacity, before the establishment of the company or the company ultimately failed to establish, the sponsors should be responsible for the process of the establishment of the obligations and responsibilities of the joint responsibility.
