【摘要】： 公司资本是公司享有法人资格和独立对外承担责任的物质基础,它取决于公司股东如约缴纳出资。而股东出资瑕疵问题一直是公司领域比较多发的问题。由于股东出资瑕疵直接导致公司法人财产的减少,这不仅损害了公司和其他股东的利益,也损害了公司债权人的利益,同时也对社会经济的发展有着不可忽视的负面影响。在股东出资存在瑕疵时,如何保障其他股东、公司、公司债权人的利益,让出资瑕疵股东承担相应法律责任?我国有关股东出资瑕疵的法律规制并不健全,本文拟以最终完善我国规制股东出资瑕疵行为的法律制度为最终目的,对我国公司法中对股东出资瑕疵的法律规制进行了探讨。本文共分为四部分：第一部分研究了股东出资瑕疵行为的表现及危害。首先,从股东出资瑕疵行为的表现入手,分析了股东出资义务的性质并确定了股东出资瑕疵的概念,进而分析了我国实践中股东出资的主要表现形式。最后,论述了股东出资瑕疵的危害,以期强调规制有关股东出资瑕疵的法律完善的重要。第二部分主要分析了我国关于股东出资瑕疵行为法律规制所存在的问题。从三个角度进行了探讨,分别是防止股东出资瑕疵的预警机制欠缺；规制股东出资瑕疵行为的程序和监督机制不健全；追究股东出资瑕疵的责任制度不完善。第三部分是为在上部分提出问题的基础上,解决这些现存的问题所作的理论上的探讨,分别从事前预防、事中相应的程序规制及监督机制和事后责任追究三个方面进行全方位的探讨,以期对我国有关该制度的立法完善有所启发。第四部分是在第三部分的基础上更进一步,对完善我国规制股东出资瑕疵行为的法律制度提出自己的建议,这也是本文的最终目的。
[Abstract]:The capital of the company is the material basis for the company to enjoy the status of legal person and to bear its responsibilities independently. It depends on the shareholders' contribution according to contract. The defect of shareholder's contribution has always been a problem in the field of company. As the defect of shareholder's contribution directly leads to the decrease of corporate property, This not only damages the interests of the company and other shareholders, but also the interests of the creditors of the company. At the same time, it also has a negative impact on the social and economic development. The interests of the creditors of the company, so that shareholders with defective capital to bear the corresponding legal responsibility? The legal regulation on the defect of shareholder's contribution is not perfect in our country. This paper aims at perfecting the legal system of regulating the defect of shareholder's contribution in our country finally, and probes into the legal regulation of the defect of shareholder's contribution in the company law of our country. This paper is divided into four parts:. The first part studies the performance and harm of the defect behavior of shareholder's capital contribution. Firstly, it analyzes the nature of the shareholder's obligation to contribute and determines the concept of the defect of shareholder's capital contribution, starting with the performance of the defective behavior of shareholder's capital contribution. Finally, the paper discusses the harm of the defect of shareholder's contribution in order to emphasize the importance of regulating the legal perfection of the defect of shareholder's contribution. The second part mainly analyzes the problems existing in the legal regulation of the defect behavior of shareholders' capital contribution in our country. It discusses from three angles: the lack of early warning mechanism to prevent the defect of shareholder's capital contribution; The procedure and supervision mechanism to regulate the defect of shareholder's contribution is not perfect, and the responsibility system to investigate the defect of shareholder's contribution is not perfect. The third part is a theoretical discussion on how to solve these existing problems on the basis of the problems raised in the above part, respectively from the perspective of prevention in advance. In order to enlighten the legislative perfection of this system in China, the corresponding procedural regulation and supervision mechanism and the responsibility investigation after the event are discussed in all directions. Part 4th is based on the third part of the further, to improve our legal system to regulate the defect of shareholders' contribution, this is the ultimate purpose of this article.
