公司经理的法律地位探讨

【摘要】：随着公司治理结构形式的不断完善,公司制度的发展中产生了一些治理的新问题,主要表现为经理的越权、经理利用代理人地位逃避法律责任、以及委托代理关系中委托人不明等问题。在新的市场经济环境下,对经理的法律地位进行准确的界定已经刻不容缓。目前,学术界部分学者主张以全新的公司治理结构取代传统公司治理理论,甚至高呼经理中心主义时代的到来。鉴于此,需要针对现代社会公司治理过程中发生的新问题,通过传统的公司法治理理论进行解决,同时对公司经理应当遵守的忠实义务、竞业禁止义务、勤勉义务进行探讨,使经理法律地位的相关问题得以明晰。
