股权对外转让规则的思考——以有限责任公司人合性为中心

【摘要】：有限责任公司在对外关系上是资合公司,在股东内部关系上则具有人合性。这种人合性不仅是合理区分公司组织特征、谋划商主体类型区分的标准,也是股东股权对外转让规则形成的重要根据。中国公司法一方面规定同意权来体现有限责任公司的人合性,另一方面又以其他股东的强制购买制度来保障转让股东财产权的实现。这种构造不仅导致有限责任公司与股份有限公司界限模糊,也使其他股东的同意权丧失意义。建议立法修正该款规定,在明确其他股东同意权的同时,以股东收买请求权制度替代其他股东的强制购买制度。
[Abstract]:A limited liability company is a joint capital company in its external relations, while it has a human nature in the internal relationship of its shareholders. This kind of personality is not only the standard of distinguishing the main types of the branch companies, but also the important basis for the formation of the rules of shareholder equity transfer. On the one hand, the company law of China stipulates the right of consent to reflect the joint nature of limited liability company; on the other hand, the mandatory purchase system of other shareholders is used to guarantee the realization of the transfer of shareholders' property rights. This structure not only leads to the blurring of the boundary between limited liability company and joint stock limited company, but also makes the consent right of other shareholders lose significance. It is suggested that the legislation should amend the provision that the system of shareholders' right of purchase and claim should be replaced by the system of compulsory purchase by other shareholders while clarifying the right of consent of other shareholders.
