刍议公司法人格否认制度

【摘要】：正公司法人格否认制度针对滥用公司人格和有限责任而设计,充分体现了诚实信用、权利禁止滥用和公序良俗的法律原则,与公司独立人格和股东有限责任相互依靠和功能互补,反映了法律追求公平、正义的终极目标。本文主要探讨公司法人格否认制度在我国的建立与适用。一、我国尚未建立公司法人格否认制度的原因分析公司法人制度的三大支柱——公司财产与股东财产分离、公司独立人格和股东承担有限责任——有力地保证了产权流转的增值并富有效率地运行,使产品最终变成财富,社会扩大再生产的循环得以继续。有限责任制度的确立,则可以有效地化解股东投资风险,将其限定在最小限度内。即是说,股东有限责任制度把一定的商业风险从股东身上转嫁到公
[Abstract]:The system of denial of corporate personality is designed for the abuse of corporate personality and limited liability, which fully embodies the legal principles of good faith, prohibition of abuse of rights and public order and good morals. Independent personality and limited liability of shareholders depend on each other and complement each other, which reflects the ultimate goal of justice and fairness in the pursuit of law. This paper mainly discusses the establishment and application of corporate personality denial system in China. First, the reasons why China has not yet established the system of denying corporate personality; the separation of corporate property from shareholder's property, which is the three pillars of corporate legal person system. The independent personality of the company and the limited liability of the shareholders can guarantee the value added of the property right circulation and run efficiently, so that the product will eventually become wealth, and the cycle of social expansion and reproduction will continue. The establishment of the limited liability system can effectively resolve the shareholder investment risk and limit it to the minimum. That is, the shareholder limited liability system transfers certain commercial risks from the shareholders to the public.
