论英美公司机会认定标准
[Abstract]:The legal research on corporate opportunity originates from Anglo-American countries and has gone through more than 100 years of development. The obligation not to usurp corporate opportunity has been recognized as an important part of directors' duty of loyalty in Anglo-American company law. However, in the theory and practice of corporate opportunity, the most controversial point and difficulty is the identification and discrimination of corporate opportunity. The basic premise of the above judgment is to grasp the standard of corporate opportunity. However, there are still many differences in the standards of corporate opportunity, both in court and in the field of corporate law. The two representatives of Anglo-American legal system, Britain and the United States, have adopted different standards of corporate opportunity. The company opportunity system has been introduced into the new company law of our country in 2005, but the provisions are too general, and the standard of company opportunity recognition is not involved, so how to apply this rule correctly becomes a difficult problem in practice. Based on this, this paper introduces briefly the nature of corporate opportunities and the standards of corporate opportunity recognition in the United States and the United States, and adopts a situational analysis method. This paper makes a deep comparative analysis on the criterion of corporate opportunity in both countries in the context of their respective economic development environment and the institutional background of global institutional competition. Finally, combined with the current situation of our country's company legislation and the objective need of our country's company development, we put forward a set of company opportunity identification standard which is suitable for our country.
