乌克兰的公司治理

【摘要】：乌克兰经济转轨的主要内容之一是国有企业的私有化和建立与市场经济体制相适应的企业制度,其中一个非常重要的问题就是确立自己国家的公司治理结构。即将完成的私有化,为乌克兰企业制度公司化提供了扎实的基础,法律框架初步建立起来,公司的治理结构起码在法律上已从过渡的形态转向了比较规范的治理结构形态。2003年年底以后,乌克兰开放式股份公司的治理结构是股东大会、监事会(Supervisoryboard)和经理委员会,具有德国模式的某些特征。但是,乌克兰《股份公司法》长期不能被立法机构通过,没有累积投票制度,股东(尤其是小股东)的权利很难得到保障,证券市场和经理人市场不发达,这使得内部人控制的问题难以解决,股东主义的目标与公司治理要兼顾利益相关者的利益以及公司要履行自己的社区责任的潮流如何兼容,也是一个需要重视的问题。
[Abstract]:One of the main contents of Ukraine's economic transition is the privatization of state-owned enterprises and the establishment of an enterprise system adapted to the market economy system. One of the most important issues is to establish the corporate governance structure of our country. The imminent privatization has provided a solid foundation for the corporatization of the Ukrainian enterprise system, and the legal framework has been initially established. Since the end of 2003, the governance structure of Ukrainian open stock companies has been the general meeting of shareholders, the board of supervisors, (Supervisoryboard), and the management committee. Having certain characteristics of the German model. However, the Ukrainian Joint Stock companies Act has long been unable to be passed by the legislature, without a cumulative voting system, the rights of shareholders, especially minority shareholders, are difficult to guarantee, and the stock market and managers' market is underdeveloped. This makes it difficult to solve the problem of insider control. The goal of shareholder doctrine and corporate governance should take into account the interests of stakeholders and how the trend of companies to fulfill their community responsibility is compatible, is also a need to pay attention to.
