公司资本制度的弊端及其完善

【摘要】：公司资本制度是《公司法》的基石,是《公司法》的核心内容之一。我国《公司法》采取严格的资本制度,其所强调的法定资本制度、过高的最低注册资本及严格的出资方式已不适应市场经济发展的需要。因此,需要取消法定资本制度,实行认可资本制度,降低法定注册资本、扩大出资方式来对公司资本制度进行改革,以重塑我国公司资本制度。
[Abstract]:Corporate capital system is the cornerstone of Company Law and one of the core contents of Company Law. The Company Law of our country adopts strict capital system, which emphasizes the legal capital system, too high minimum registered capital and strict capital contribution, which can no longer meet the needs of the development of market economy. Therefore, it is necessary to abolish the legal capital system, implement the approved capital system, reduce the statutory registered capital, and expand the mode of capital contribution to reform the corporate capital system in order to reshape the corporate capital system in China.
