我国公司累积投票制研究

【摘要】：累积投票制的目的之一就是保护中小股东的权益，防止公司被大股东所操纵。累积投票制对公司股东之间的平等、完善公司治理等都会产生积极的作用。我国由于股权结构不合理以及公司治理方面的不完善，经常发生侵害中小股东权益的不合理事件，导致中小股东自身的合法利益收到损害。公司运用累积投票制度是为了在董事和监事的选举中，代表中小股东的少数派候选人有进入公司董事会和监事会中的可能。我国现行《公司法》首次以全国性法律的形式规定了累积投票制度，可以看出我国立法者对贯彻平等理念、保护中小股东权益和改善公司治理方面的信念。 我国公司累积投票制的现状考察分为法律层面和公司实践层面的考察，并且法律层面又可细分为立法和司法层面的现状考察；对于公司实践层面，笔者考察了一些上市公司的累积投票制实施细则，进而得出我国公司累积投票制的现状及所实行的立法模式。为了更好的分析我国累积投票制所实行的立法模式，笔者特意考察了具有代表性国家和地区的立法模式，并以此进行分析，得出累积投票制是切合我国现实国情的。另外，笔者对累积投票制的具体制度分析是以公司的治理结构为法理基础的，外部环境分析是以我国现有股权模式下所导致的股东不平等性为基础的，并且总结了具体制度和外部环境所存在的问题，并给出了解决这些问题的建议。
[Abstract]:One of the purposes of the cumulative voting system is to protect the rights and interests of minority shareholders and to prevent the company from being manipulated by large shareholders. The cumulative voting system will play a positive role in the equality of shareholders and the improvement of corporate governance. Because of the unreasonable ownership structure and the imperfect corporate governance, the unreasonable incidents of infringing the rights and interests of the minority shareholders often occur in our country, which results in the damage to the legitimate interests of the minority shareholders themselves. In the election of directors and supervisors, the minority candidates representing minority shareholders have the possibility of entering the board of directors and the board of supervisors. For the first time, China's current Company Law has stipulated the cumulative voting system in the form of a national law, which shows the belief of our legislators in carrying out the concept of equality, protecting the rights and interests of minority shareholders and improving corporate governance. The current situation of corporate cumulative voting system in China can be divided into legal level and corporate practice level, and the legal level can be subdivided into legislative and judicial level. The author investigates the detailed rules of the cumulative voting system of some listed companies, and then obtains the present situation of the cumulative voting system of Chinese companies and the legislative model implemented. In order to better analyze the legislative model of the cumulative voting system in our country, the author specially inspected the legislative model of representative countries and regions, and based on this analysis, it is concluded that the cumulative voting system is in line with the actual situation of our country. In addition, the specific institutional analysis of the cumulative voting system is based on the corporate governance structure, and the external environment analysis is based on the shareholder inequality caused by the existing equity model in China. And summarized the concrete system and the external environment existence question, and gave the solution to these problems.
