公司职工董事职能实现法律问题研究

【摘要】:职工董事是董事的一种特殊类型,其具有一般董事所不具备的品性、特质和角色,即职工董事具有一般董事所没有的“职工性”。具体而言,职工董事是指公司职工以劳动者(而非管理者)的身份,通过一定的方式参与公司董事会运作的非管理岗职工,目的在于通过职工参与董事会实现决策主体的多元化、科学化和基层化,使职工利益与股东利益尽可能的达到联合与统一,并在此过程中形成一种相互制衡、相互协调与促进的效率机制。我国职工董事制度来源于德国公司的职工共同决策制度,但在制度功能能上存在差异,特别是在职能的发挥方面。从这个意义上说,我国的职工董事制度是我国社会主义国家所特有的一种新的真正体现职工权益的公司治理方式。2005年新修订的《公司法》对职工参与董事会作了较为明确的规定,为推进职工民主管理更加科学化、规范化,更加完善和落实职工董事制度提供了一个良好的契机。然而,现实中职工董事制度的运行十分艰难,究其根源还是职工董事的职能机制尚未厘清,相关法律问题尚未明确。因此,中国引进和革新职工董事制度必须结合中国自身的实际情况,其要求契合中国现有的公司治理结构现实和法律文化传统,进行科学的制度设计和创新。完善公司立法,应当建立“三三制”的董事会治理结构,增加职工董事的比例,实现董事会内部权力的制衡;处理好职工董事与其他董事、监事会的关系与协调,实现资源与优势的互补;从权利和责任的角度出发,明确职工董事的具体职权和责任,如表决权、法律责任、报酬机制等;在程序方面,完善职工董事参与董事会会议具体的议事规则,实现职工董事真正享有公司管理中的民主参与权;从法律价值出发,完善对职工董事专门的培养体系,通过法律法规或公司章程的规定对职工董事进行专门的培训以提高其综合素质。
[Abstract]:Employee director is a kind of special type of director, which has the character, characteristic and role that the general director does not have, that is, the employee director has the "worker nature" which the general director does not have. In particular, the employee director refers to the non-managerial staff and workers who participate in the operation of the company's board of directors in a certain way as workers (not as managers). The purpose of this paper is to realize the diversification, scientization and basicalization of decision-making subjects through the participation of staff and workers in the board of directors, so that the interests of workers and shareholders can be United and unified as far as possible, and a kind of checks and balances will be formed in the process. An efficient mechanism for coordination and promotion. The system of employee directors in our country comes from the common decision-making system of German companies, but there are differences in the function of the system, especially in the exertion of its functions. In this sense, The system of employee directors in our country is a new kind of corporate governance that truly embodies the rights and interests of workers and staff in socialist countries of our country. The newly revised Company Law in 2005 makes more explicit provisions on the participation of workers and staff in the board of directors. It provides a good opportunity for promoting the democratic management of staff and workers to be more scientific and standardized, and to perfect and implement the staff director system. However, the operation of employee director system is very difficult in reality, the root of it is the functional mechanism of employee director, and the related legal issues are not clear. Therefore, the introduction and innovation of the employee director system in China must be combined with the actual situation of China itself, and its requirements are in line with the reality of China's existing corporate governance structure and the tradition of legal culture, and carry out scientific system design and innovation. In order to perfect the company legislation, we should establish the governing structure of the board of directors with "three or three systems", increase the proportion of the directors of the staff and workers, realize the balance of power within the board of directors, handle the relationship and coordination between the directors of the staff and the other directors and the board of supervisors, To realize the complementarity of resources and advantages; from the angle of rights and responsibilities, to clarify the specific powers and responsibilities of the directors, such as voting rights, legal liability, compensation mechanism, etc. To improve the specific rules of procedure for staff directors to participate in board meetings, to realize that staff directors really enjoy the right of democratic participation in the management of the company, and to perfect the special training system for staff and workers' directors from the point of view of the legal value, Staff directors are trained to improve their comprehensive quality by means of laws and regulations or articles of association.
