试论公司法资本三原则的中国命运

【摘要】：公司法上的资本三原则虽然存在诸多问题,也一直被人诟病,但是其还未到被完全废弃的地步;中国公司立法在参鉴、移植、改良资本三原则时不能忽略本土化和路径依赖理论的要求;改良后的资本三原则不能单独发挥作用,需要相关措施来帮助其发挥实效。
[Abstract]:Although there are many problems in the three principles of capital in the company law, they have been criticized all the time, but they have not been completely abandoned. China's corporate legislation can not ignore the requirements of localization and path dependence theory when studying, transplanting, and improving capital three principles, and the improved capital three principles can not play a role alone, and relevant measures are needed to help them exert their actual effects.
