论早期特许公司──现代股份公司之渊源

【摘要】：世界两大法系公司法都经历过早期特许公司这一共同的发展阶段。对早期特许公司的研究，如对特许公司之前的行会、普通合伙以及有限合伙等主要商业组织，特许公司兴起的社会背景及发展历程，特许状之种类、期限、费用及主要内容，特许合股公司法人人格、资本与股份转让、集中管理以及有限责任的法律发展等问题，进行深入考察和研讨，，将为研究早期特许公司以及探寻现代股份公司的渊源提供极有价值的参考，从而为健全、完善现代股份制企业制度提供历史借鉴。
[Abstract]:The two major legal systems of the world have experienced the common stage of development of the early concessionaires.
