公司僵局救济途径研究

【摘要】:公司僵局应该是所有公司都必须正视的一个问题,因为一旦出现公司僵局,不仅会给公司带来巨大的危害,而且会给社会带来负面影响,因此,对公司僵局救济途径的研究就巨大十分重要的意义。 然而,公司僵局的出现却与现代公司法理念有着密不可分的关系。.公司自治、资本民主制度、股东平等所代表的现代公司理念推动现代公司大发展的同时,也导致了一些副作用的出现,公司僵局就是副作用之一。一方面是我们不能舍弃的现代公司理念,另一方面是公司僵局所带来的巨大危害,我们处于在一种两难境界,因此,公司僵局救济途径的研究对于打破这种两难境界具有重大意义。 本文的写作内容大致包括以下四个部分:首先,通过对公司僵局基本理论的分析,对公司僵局概念作出界定,并概括出公司僵局的不同分类。其次,对公司僵局的成因进行探究,揭示出公司自治、资本民主、股权平等以及有限公司的组织形式是公司僵局形成的深层次原因。再次,基于公司僵局基本理论和形成原因的分析,设计出合理的公司僵局的非司法救济途径,对公司章程自治、调解、仲裁等非司法救济方式进行说明。最后,由于非司法救济方式的不足,对公司僵局的司法救济方式的基本理论、基本限制以及我国立法现状进行分析,并提出了一些完善建议。本文试图通过对公司僵局救济途径的的研究和分析,制定出一套科学的救济途径,能够对解决公司僵局有所贡献。
[Abstract]:Corporate deadlock should be a problem that all companies must face up to, because once there is a corporate deadlock, it will not only bring great harm to the company, but also bring negative impact to the society. It is of great significance to study the ways of corporate deadlock relief. However, the emergence of corporate deadlock and modern company law concept has a close relationship. Corporate autonomy, capital democracy, and the modern corporate concept represented by equality of shareholders promote the great development of modern companies, but also lead to the emergence of some side effects, corporate deadlock is one of the side effects. On the one hand, we can not abandon the modern corporate philosophy, on the other hand, the great harm caused by corporate deadlock, we are in a dilemma, so, The research on the remedy of corporate deadlock is of great significance to break the dilemma. The content of this paper includes the following four parts: firstly, through the analysis of the basic theory of corporate deadlock, the concept of corporate deadlock is defined, and the different categories of corporate deadlock are summarized. Secondly, this paper explores the causes of corporate deadlock and reveals that corporate autonomy, capital democracy, equity equality and the organizational form of limited companies are the deep-seated reasons for the formation of corporate deadlock. Thirdly, based on the analysis of the basic theory of corporate deadlock and the analysis of the reasons for its formation, the author designs a reasonable non-judicial remedy for corporate deadlock and explains the non-judicial remedies such as corporate charter autonomy, mediation, arbitration and so on. Finally, due to the lack of non-judicial relief, the basic theory, basic limitations and the current situation of legislation of the corporate deadlock are analyzed, and some suggestions are put forward. This paper attempts to make a set of scientific relief ways through the research and analysis of the ways to remedy the corporate deadlock, which can contribute to the solution of the corporate deadlock.
