公司转投资行为的法律规制与完善

【摘要】： 公司转投资制度是公司法中最重要的制度之一,为了促进我国市场经济的快速发展,提高我国在国际市场上的竞争力,我国新《公司法》对原《公司法》在公司转投资方面的规定进行了大量的修改和完善,例如对公司转投资的对象不再严格的限制、对公司转投资的数额也不再进行强制性规定,同时进一步明确了公司转投资的决议机制等。新《公司法》在转投资方面给予了公司更大的自主权,调动了公司的积极性,为公司的规模化、集团化,跨国化发展提供了有利的法律支持。但新《公司法》对于公司转投资后所形成的资本虚增以及关联企业相关问题没有制定详尽明确的法律规定,对转投资后中小股东以及债权人的利益保护也缺乏完善的法律制度。本文将结合英美法系和大陆法系的先进立法经验对此提出立法意见和建议。
[Abstract]:The company transfer investment system is one of the most important systems in the company law. In order to promote the rapid development of China's market economy and improve the competitiveness of our country in the international market, The new Company Law of our country has made a great deal of amendments and consummation to the provisions of the original Company Law on the transfer of investment of the company. For example, there are no strict restrictions on the object of the company's transfer of investment and no more mandatory provisions on the amount of the company's transferred investment. At the same time, it further clarifies the decision mechanism of the company to invest. The new Company Law has given the company more autonomy in the aspect of transferring investment, mobilized the enthusiasm of the company, and provided favorable legal support for the development of the scale, collectivization and transnational of the company. However, the new "Company Law" has no detailed and clear legal provisions on the fictitious increase of the capital formed after the company has transferred to invest and the related problems of the affiliated enterprises, and it also lacks a perfect legal system for the protection of the interests of the minority shareholders and creditors after the transfer of investment. Combined with the advanced legislative experience of Anglo-American law system and civil law system, this paper will put forward legislative opinions and suggestions.
