我国一人公司出资制度的立法思考

【摘要】：当前,现实中实质意义的一人公司和衍生型的一人公司大量存在,由此给我国社会主义市场经济发展带来了诸多不便,在学者的强烈呼吁下,国务院法制办在《中华人民共和国公司法(修改草案)》(简称《草案》)中专设了一人有限责任公司的特别规定;公司资本制度是公司赖以生存和从事生产经营活动的物质基础,而公司出资是建立良好的公司信用的前提和基础,在对我国现行公司法出资规制进行反思的基础上,针对一人公司的自身的特殊性,结合我国公司法的修改《草案》,就一人公司的出资相关问题提出个人的立法思考。
[Abstract]:At present, there are a large number of one-man companies and derivative one-man companies in reality, which bring a lot of inconvenience to the development of socialist market economy in our country, and under the strong appeal of scholars, The legal Office of the State Council has set up special provisions on one-person limited liability companies in the Company Law of the people's Republic of China (revised draft) (abbreviated as "draft"); The company capital system is the material foundation for the company to survive and engage in the production and management activities, and the company capital contribution is the premise and foundation of establishing good corporate credit. In view of the particularity of one-man company and the revision of our company law, the author puts forward personal legislative thinking on the related problems of one-man company's contribution.
