集体建设用地使用权出资可行性问题研究

【摘要】:集体建设用地使用权是我国集体土地使用权中的一项重要权利。集体建设用地使用权可以作为出资是解决当前农村经济发展困境的重要前提之一。 目前,我国对于集体建设用地使用权是否可作为出资,虽有一些实践基础,但多是依靠地方政策来调整和规范,相关法律法规很不完善,缺乏稳定性和法律依据。本文在总结实践经验的基础上,对现有法律法规进行分析,对集体建设用地使用权出资问题提出一些自己的看法。全文分为三个部分: 第一部分主要论述了集体建设用地使用权的一些基本问题。首先阐述了集体建设用地使用权的概念,然后介绍了集体建设用地使用权的特征和分类,最后说明了其出资意义。 第二部分主要是对集体建设用地使用权出资的可行性进行分析。集体建设用地使用权是一种非货币财产,我国《公司法》规定非货币财产出资必须满足三个条件:一是可以评估;二是可以转让;三是不属于法律、行政法规规定不可作为出资的财产。根据《公司法》对非货币财产出资的规定,第二部分着重对现有法律法规中涉及集体建设用地使用权出资的规定进行分析,同时结合对集体建设用地使用权流转试点中实践经验的总结,从法律和实践两方面说明集体建设用地使用权作为出资是具有可行性的。 最后一部分则提出了集体建设用地使用权在出资中存在的一些问题及完善建议。集体建设用地使用权如若出资就必须解决其在评估、流转和法律依据欠缺等方面存在的问题。解决这些问题需要明确集体土地所有权人、完善集体土地所有权权能和评估制度并建立健全相关法律法规,使集体建设用地使用权在出资时有法可依。除此之外,在本部分还就集体建设用地使用权本身所具有的特性使其在出资过程中与公司法制度间产生的一些矛盾,如集体建设用地使用权的期限性、广泛性和限定性分别与公司法人财产的永久性、股东人数的有限性、公司经营的自主性存在矛盾作了阐述。同时,针对这些矛盾,笔者给出了一些解决的建议。 总之,集体建设用地使用权作为出资,将对规范农村土地市场秩序,,完善集体土地所有权权能以及保护农民利益,促进农村经济发展起到巨大作用。
[Abstract]:Collective construction land use right is an important right of collective land use right in our country. The use right of collective construction land is one of the important preconditions to solve the predicament of rural economic development. At present, although there are some practical foundations for the use of collective construction land in our country, most of them depend on local policies to adjust and standardize, and the relevant laws and regulations are not perfect, lacking of stability and legal basis. On the basis of summing up the practical experience, this paper analyzes the existing laws and regulations, and puts forward some views on the capital contribution of collective construction land use right. The paper is divided into three parts: the first part mainly discusses some basic problems of collective construction land use right. This paper first expounds the concept of collective construction land use right, then introduces the characteristics and classification of collective construction land use right, and finally explains its contribution significance. The second part mainly analyzes the feasibility of collective construction land use right investment. The right to use collective construction land is a kind of non-monetary property. The Company Law of our country stipulates that the capital contribution of non-monetary property must meet three conditions: first, it can be assessed; second, it can be transferred; Third, does not belong to the law, administrative rules and regulations can not be used as capital contribution property. In accordance with the provisions of the Company Law on the contribution of non-monetary property, the second part focuses on the analysis of the provisions of the existing laws and regulations concerning the investment of the right to use collective construction land. At the same time, combining with the summary of the practical experience in the circulation of collective construction land use right, it is feasible to use collective construction land use right as capital contribution from two aspects of law and practice. In the last part, some problems and suggestions of collective construction land use right in capital contribution are put forward. If collective construction land use right is invested, the problems existing in evaluation, circulation and lack of legal basis must be solved. To solve these problems, it is necessary to make clear the owner of collective land, perfect the power and evaluation system of collective land ownership, and establish and perfect relevant laws and regulations, so that the right to use collective construction land can be subject to law in the process of capital contribution. In addition, in this part, there are some contradictions between collective construction land use right and company law system, such as the term of collective construction land use right. This paper expounds the contradiction between extensiveness and limitation, the permanence of corporate property, the limited number of shareholders, and the autonomy of company management. At the same time, in view of these contradictions, the author gives some suggestions to solve them. In a word, the use right of collective construction land as capital contribution will play a great role in standardizing the order of rural land market, perfecting the power of collective land ownership, protecting the interests of farmers and promoting the development of rural economy.
