我国公司法引进“深石原则”的必要性和可能性初探

【摘要】：关联企业的出现是企业发展到一定阶段的必然结果，它在推动企业迅速发展的同时也对当前的法律造成一定的冲击。它使得关联交易更加频繁和隐蔽，对本就处于弱势地位的公司债权人的利益保护更加不利。而我国现行《公司法》严格遵守股东对公司的有限责任原则，且缺乏对关联公司的调整性规范，使得关联企业私下交易损害从属公司债权人的案件频频发生。如何做到既坚持股东的有限责任，不动辄否定公司的独立法人地位，，又能使得从属公司债权人的利益得到有效保护？他山之石，可以攻玉。美国的“深石原则”恰是值得我们借鉴的一剂良方。本文将具体探讨我国公司法引进“深石原则”的必要性和可能性，在探讨时将以母子公司为例，从理论和实践两个层面研究“深石原则”的产生、发展、法理基础及其与我国法律思想的相容性，在借鉴其他国家和地区的立法经验上尝试探讨“深石原则”的适用条件，希望能为我国早日引进“深石原则”尽一份力。
[Abstract]:The emergence of affiliated enterprises is the inevitable result of the development of enterprises to a certain stage, it not only promotes the rapid development of enterprises, but also has a certain impact on the current law. It makes connected transactions more frequent and covert, and even more disadvantageous to the interests of corporate creditors who are already in a weak position. However, China's current Company Law strictly adheres to the principle of limited liability of shareholders to the company, and lacks the regulation of affiliated companies, which makes the cases of private transactions of affiliated enterprises damaging creditors of subordinate companies occur frequently. How to not only adhere to the limited liability of shareholders, do not easily deny the status of independent legal person of the company, but also can make the interests of creditors of subordinate companies to be effectively protected? The stone of other mountains can be used to attack jade. The "Deep Stone principle" of the United States is a good prescription for us to draw lessons from. This paper will discuss the necessity and possibility of introducing the "Deep Stone principle" into the company law of our country, and take the parent-subsidiary company as an example to study the emergence and development of the "Deep Stone principle" from the aspects of theory and practice. Based on the legal basis and its compatibility with our legal thoughts, this paper attempts to explore the applicable conditions of the "Deep Stone principle" on the basis of the legislative experience of other countries and regions, in the hope that it can contribute to the early introduction of the "Deep Stone principle" in our country.
