欧洲公司法统一化新进展——简析欧盟委员会《欧洲私法公司条例草案》

【摘要】：欧盟委员会提出了《欧洲私法公司理事会条例草案》,这标志着欧盟在公司法统一化道路上再次迈出实质性的一步。欧洲私法公司将成为继欧洲经济利益集团、欧洲公司和欧洲合作社之后的第四种超国家公司形式。借助这一灵活而受欢迎的公司形式,欧盟希望能打破公司法统一进程在实务界遭受冷遇的现状。对于打算在欧盟多个成员国以有限责任公司形式开展业务的中国投资者而言,欧洲私法公司也将是符合管理效率最大化原则的选择。
[Abstract]:The draft Regulation of the Council of European Private Law companies was introduced by the European Commission, which marks another substantial step on the road of unification of the European Union's company law. Private European companies will become the fourth form of supranational company after European economic interests, European companies and European cooperatives. With the help of this flexible and popular form of company, the EU hopes to break with the fact that the process of unification of company law has suffered a cold shoulder in the field of practice. For Chinese investors who intend to operate as limited liability companies in EU member states, European private law companies will also be a choice in line with the principle of maximization of managerial efficiency.
