中美有限公司立法比较及借鉴

【摘要】：美国统一有限责任公司法(ULLCA)融合了公司与合伙的优点,具有公司设立自由化、公司治理自治化、利益分配弹性化、法律条款任意化的特征。本文将其与我国新公司法进行对比分析,总结出我国新公司法存在的不足之处。
[Abstract]:The unified limited liability company law (ULLCA) of the United States combines the advantages of company and partnership, and has the characteristics of liberalization of company establishment, autonomy of corporate governance, flexible distribution of interests and arbitrariness of legal provisions. This paper compares it with the new company law of our country, and summarizes the shortcomings of the new company law of our country.
