略论公司法一体化:中国视角及启示

【摘要】：近年来,在全球经济一体化的背景下,关于全球公司治理模式一体化的问题已经在国际上引起学者的高度关注和激烈争论。但是,对于公司法一体化进程中的中国公司法发展经验及其启示,尚缺乏必要的研究。本文试图填补这一空白,从中国公司法发展的新视角去审视公司法一体化这一宏大命题,并将这一命题细分为四个子课题:公司法正在一体化吗?公司法会一体化吗?公司法一体化的路径有哪些?公司法一体化对我国有何启示?本文从法学的角度批判了LLSV关于投资者保护法律与资本市场发展之间关系的经济研究,并提出公司法的一体化不是公司法的某国化,不只是法条的一体化,而且也不是公司法的单一化,以指导我国公司法未来的发展方向和模式选择。
[Abstract]:In recent years, in the background of global economic integration, the problem of the integration of the global corporate governance model has attracted the high attention and the heated debate of the scholars at the international level. However, there is a lack of necessary research on the experience in the development of the company law in the process of corporate law integration and its enlightenment. This paper attempts to fill this gap, to examine the grand proposition of the corporate law integration from a new perspective of the development of the Company Law of China, and to subdivide the proposition into four sub-topics: is the company law in the process of being integrated? Will the company law be integrated? What are the paths of corporate law integration? What is the enlightenment of the company law integration to our country? This paper, from the angle of law, criticizes LLSV's economic research on the relationship between the law of investor protection and the development of capital market, and puts forward that the integration of the company law is not a country of the company law, it is not only the integration of the law, but it is not the singleness of the company law. In order to guide the future development direction and mode choice of our company's company law.
