煤炭资源整合法律问题研究

【摘要】： 目前我国法学界对煤炭资源整合的系统研究十分缺乏,尤其缺少对其涉及法律问题的全面和深入的解析。我国的煤炭资源整合工作在国外也鲜有先例可循,相关的研究资料和学术著作也很难获得。尽管如此,笔者仍尽最大努力从多方面收集信息并参与相关的实务工作,对煤炭资源整合的法律问题提出了一己之见,希望能为相关的研究工作提供有价值的参考。全文共分为引言、正文和结语三部分,其中正文分为五部分：第一部分提出了本文的研究对象和研究视角。基于我国煤炭产业的发展现状和现存问题,国家对煤炭产业发展的政策性导向,山西省为代表的主要产煤省份开始推行煤炭资源整合和有偿使用工作,并引发了煤炭企业领域大规模的并购重组活动。第二部分对煤炭资源整合进行总体分析。介绍了国内外煤炭产业的发展趋势,以山西省为例,着重阐述了原有煤炭产业的发展概况和存在问题,分析煤炭资源整合的历史背景和起因,论证了进行煤炭资源整合的必要性。介绍了煤炭资源整合的大体进程和现有成果,以期使读者对煤炭资源整合有一个深入的了解。第三部分揭示了煤炭资源整合中的法律问题,并从中遴选了具有主导性的几个方面进行详细论述。包括采矿权的权利属性、政府的地位和作用、规范性依据、各种主体的利益保护以及民商事行为的规范化等问题。重点揭示贯穿始终的实质性问题,即产业政策与经济法律的协调。第四部分论述产业政策与市场经济法律的协调。全面论述了煤炭资源整合法律问题的核心方面,即产业政策与市场经济法律的协调。从资源整合的性质入手,揭示资源整合的政策性实质,与现有法律规定的冲突方面和协调点。对产业政策的内容进行解析,对市场经济法律进行界定,深入分析两者的关系。第五部分对煤炭资源整合提出启示和建议。通过对煤炭资源整合的法学解析和论述,将其上升为整个国家的产业政策和市场经济法律关系的层面,提出了解决问题的基本思路和方案,包括加快我国产业政策的法律化进程和进行专门的产业立法两个方面,并阐述了目的和意义。研究方法：在本文中,笔者综合运用了经济分析法,规范分析法,比较分析法,价值分析法,历史分析法等多种研究方法,对煤炭资源整合及其法律问题进行了全面而深入的论述,并提出了解决问题的对策和基本思路,以期为市场经济的有序发展和法治社会的建设尽一份绵薄之力。
[Abstract]:At present , there is a lack of systematic research on the integration of coal resources in China ' s law field , especially lack of comprehensive and in - depth analysis of the legal issues . The coal resource integration in China is also very difficult to obtain in foreign countries . However , the author makes the best effort to collect information from various aspects and participate in relevant substantive work , and puts forward some opinions on the legal aspects of coal resource integration , and hopes to provide valuable reference for the relevant research work .

The text is divided into three parts : preface , text and conclusion , in which the text is divided into five parts :

The first part presents the research object and research perspective in this paper . Based on the present situation and existing problems of the coal industry in China , the policy direction of the development of coal industry is pointed out in the country , and the coal resource integration and paid use are started in the main coal - producing provinces represented by Shanxi Province , and the large - scale mergers and acquisitions activities in the field of coal enterprises have been initiated .

In the second part , the overall analysis of coal resource integration is carried out . The development trend of coal industry at home and abroad is introduced . Taking Shanxi Province as an example , the development and existing problems of the original coal industry are discussed , and the necessity of coal resource integration is analyzed . The general process and the existing achievements of coal resource integration are introduced , so as to make the readers have an in - depth understanding of the coal resource integration .

The third part reveals the legal problems in the integration of coal resources and discusses the main aspects of coal resource integration , including the right attribute of mining right , the status and function of the government , the normative basis , the interests protection of various subjects and the standardization of civil and commercial activities .

The fourth part discusses the coordination of industrial policy and market economy law .

The fifth part puts forward the inspiration and suggestion on the coal resource integration . By analyzing and discussing the law of coal resource integration , this paper puts forward the basic idea and scheme of solving the problem , including speeding up the legal process of China ' s industrial policy and carrying out the special industry legislation , and expounds the purpose and significance .

In this paper , the author comprehensively applies the methods of economic analysis , normative analysis , comparative analysis , value analysis and historical analysis to make a comprehensive and thorough discussion on the integration of coal resources and its legal issues , and puts forward some countermeasures and basic ideas to solve the problem , with a view to making a great contribution to the orderly development of the market economy and the construction of the rule of law society .
