汉冶萍公司用人权限问题考论

【摘要】：用人权限问题是关乎汉冶萍公司控制权、经营方向乃至兴衰成败的企业管理的核心内容。商办时期的汉冶萍公司,根据企业制度的设置,各级人员尤其是高级管理人员的任免由董事会控制,盛宣怀以其无法替代的实力和声望,主导董事会从而实际控制公司的用人权限。在与企业外部势力争夺用人权限的博弈中,盛氏有效牵制各方,维护了公司利益。盛宣怀去世后,人事任免主要由经理负责核定,而盛恩颐先后担任副经理、总经理,以其为代表的盛氏家族依旧占据董事会核心位置,所以用人权限实际上控制在盛氏家族手中。汉冶萍公司用人权限的变化和争夺,体现了盛宣怀及盛氏家族对公司的实际掌控,也反映出汉冶萍公司在艰难的发展历程中始终未能走上近代股份公司制度化、规范化的管理道路。
