【摘要】：随着中国市场经济和资本市场的全面发展,民营企业在社会经济中起着越来越重要的作用。自2012年以来,中国经济发展进入新常态,经济增长速度逐步放缓,金融市场表现不稳定,处于产业结构调整、产能升级改造的过程中。受到外部环境、财务管理和公司治理等内外部因素的影响,近些年来陷入财务困境的民营企业不断增加。财务困境问题的发生不仅严重影响企业的正常运营,也损害企业员工、投资人、债权人的经济利益,更是给相关行业及资本市场的稳定性造成不良影响。因此,财务困境研究已成为国内外学者和实务界管理者普遍关注的问题。本文选择YR公司财务困境问题作为研究对象,主要由于YR公司陷入财务困境的表现和成因在民营企业中具有代表性,案例研究可以对民营企业在公司治理、财务管理、企业决策等方面提出若干有益的启示。本文共分为六个章节。第一章是本文的绪论,主要说明了文章的研究背景、研究意义、研究方法以及研究思路,并对国内外学者关于财务困境问题的研究成果进行了概述归纳。第二章在对财务困境相关基础理论进行回顾的基础上,对财务困境的定义进行了具体界定,且梳理总结了企业出现财务困境问题的表现和成因。在第三章中本文结合YR公司近六年的实际经营情况,详细介绍了 YR公司陷入财务困境的表现,主要是企业债务负担沉重、偿债能力下降、盈利能力下滑亏损持续发生、现金流量不足。在第四章中,本文从企业内外部两大方面,多角度归纳总结YR公司陷入财务困境的原因。外部原因有经济形势不景气、食品安全政策约束和原材料价格上涨,内部原因主要是YR集团多元化经营战略失败、主业脆弱未形成核心竞争力、公司治理结构不完善、资本结构不合理、食品安全事故频发等。通过案例分析,第五章得出了本文关于公司治理、财务管理、企业经营等方面的案例启示。第六章是文章的研究结论和未来展望,且说明了本文案例研究的局限性和未来研究方向。本文结合本案例的具体情形,提出与研究对象相适应的财务困境概念和界定标准,丰富了财务困境问题的研究内涵,为案例分析提供了理论依据;并且较为全面系统地分析了 YR公司出现财务困境问题的表现和成因,为财务困境问题案例研究提供崭新视角,丰富财务困境问题的研究内涵;案例研究启示有利于其他公司及时发现企业经营管理中的问题,及时调整企业战略和财务政策,避免和延缓财务困境问题的出现。
[Abstract]:With the overall development of Chinese market economy and capital market, private enterprises play a more and more important role in the social economy. Since 2012, China's economic development has entered a new normal state, the speed of economic growth has slowed down gradually, the financial market is unstable, in the process of industrial structure adjustment, and in the process of upgrading production capacity. Under the influence of internal and external factors such as border, financial management and corporate governance, the private enterprises, which have fallen into financial difficulties in recent years, have been increasing. The occurrence of financial difficulties not only seriously affects the normal operation of the enterprises, but also damages the economic interests of the employees, investors and creditors, but also causes the stability of the related industries and the capital market. Therefore, the study of financial distress has become a common concern of scholars and practitioners at home and abroad. This paper chooses the financial distress problem of YR company as the research object, mainly because of the representation and cause of the financial distress of YR companies in the private enterprises, and the case study can be used to govern the private enterprises in the company, This article is divided into six chapters. The first chapter is the introduction of this article, which mainly explains the research background, research significance, research methods and research ideas, and summarizes the research results of domestic and foreign scholars on financial difficulties. The second chapter is on the money. On the basis of the review of the basic theory of business predicament, the definition of financial distress is defined, and the performance and causes of the financial difficulties of the enterprise are summarized and summarized. In the third chapter, this paper, in combination with the actual operation of YR company in the last six years, introduces the performance of YR company in financial predicament in detail, mainly the enterprise The debt burden is heavy, the debt paying ability falls, the profit decline loss continues and the cash flow is insufficient. In the fourth chapter, this article sums up the reasons for the financial distress of YR company from the two aspects of the internal and external aspects of the enterprise. The external reasons are the economic situation depression, the food safety policy constraint and the raw material price rise, the internal original Because of the failure of the diversification strategy of YR group, the fragility of the main industry has not formed the core competitiveness, the corporate governance structure is not perfect, the capital structure is not reasonable, the food safety accidents are frequent, and so on. Through the case analysis, the fifth chapter draws the case revelation about the corporate governance, the financial management, the enterprise management and so on. The sixth chapter is the research of the article. The conclusion and future prospect, and explain the limitations of the case study and the future research direction. This paper, based on the specific circumstances of this case, puts forward the concept and definition of financial predicament adapted to the research object, enriches the research connotation of the financial difficulties, and provides a theoretical basis for the case analysis; and it is more comprehensive and systematic. This paper analyzes the manifestations and causes of the financial distress problem of YR company, provides a new perspective for the case study of financial difficulties and enriches the research connotation of the financial difficulties. The case study helps other companies to find out the problems in the business management in time, adjust the enterprise strategy and financial policy in time, and avoid and postpone the finance. The emergence of a difficult problem.
