【摘要】:改革开放以来,尤其是加入WTO以后,我国经济飞速发展,人民对生活水平的要求日益提高,越来越享受经济带给人们的好处。住上大房子、住上好房子,已经成为公众开始追求的目标,我国建筑装饰业近些年发展空前。与此同时,建筑装饰业也迎来了一轮“优胜劣汰”的浪潮,建筑装饰企业在“十一五”期间由19万家减少到15万家。为了进一步发展,能够在行业中脱颖而出,建筑装饰行业的并购重组战略日益增多。通过并购重组战略的实施,企业不仅可以在一定程度上提高自身的发展规模,而且可以优化自身业务管理,,对建筑装饰企业的长远发展具有非常重要的意义。基于这样的背景下,本文对ZT装饰公司的并购重组战略进行深入研究。 本文以ZT装饰公司为研究对象,对建筑装饰企业的并购重组战略的制定和实施进行较为深入的分析和研究。本文具体工作如下:第一,对并购重组战略涉及的国内外相关文献进行总结和分析,并指出了现有研究的不足之处;第二,通过对战略重组涉及的基本概念的定义,本文重点阐述了企业并购重组战略的相关理论;第三,结合ZT装饰公司的发展实际,对ZT装饰公司进行并购重组的环境分析;第四,从横向并购重组和纵向并购重组两个方面制定ZT装饰公司的并购重组战略;第五,根据并购重组战略从组织结构、成本管理、人才、品牌等四个方面提出具体实施和保障措施。 本文通过对ZT装饰公司的并购重组战略研究,战略的制定和规划是一个动态的过程,要符合经济性、合规合法性和价值最大化原则。ZT装饰公司的战略是走横向并购重组道路和纵向并购重组道路。横向并购重组道路要以ZT装饰公司为核心整合周边中小企业,达到迅速抢占市场,扩大经营规模的目的;纵向并购重组道路要分步实施:第一步是前向一体化,对原料供应商进行整合,达到节省原材料成本的目的;第二步是纵向一体化,对家居企业进行并购重组,达到拓展业务,降低风险的作用。希望本文所做的工作能为相关企业的并购重组战略的制定和实施提供有益的借鉴。
[Abstract]:Since the reform and opening up, especially after China's entry into WTO, the economy of our country has developed rapidly, and the people's demand for living standards has been increasing day by day. They are enjoying the benefits brought by the economy more and more. They live in big houses and good houses. The construction decoration industry in our country has developed unprecedented in recent years. At the same time, the architectural decoration industry has also ushered in a wave of "survival of the fittest". The number of architectural decoration enterprises decreased from 190000 to 150000 during the 11th Five-Year Plan period. In order to further develop, they can stand out from the rest of the industry. The M & A strategy of architectural decoration industry is increasing day by day. Through the implementation of M & A strategy, Enterprises can not only improve their own development scale to a certain extent, but also optimize their own business management, which is of great significance to the long-term development of architectural decoration enterprises. This article carries on the thorough research to the ZT decoration company's merger and acquisition reorganization strategy. This paper takes ZT Decoration Company as the research object, carries on the comparatively thorough analysis and the research to the construction decoration enterprise's merger and acquisition reorganization strategy formulation and the implementation. The specific work of this paper is as follows: first, This paper summarizes and analyzes the related literature of M & A strategy at home and abroad, and points out the shortcomings of the existing research. Secondly, through the definition of the basic concepts involved in strategic reorganization, This paper focuses on the related theory of M & A strategy; third, combining with the development practice of ZT decoration company, analyzes the environment of the merger and reorganization of ZT decoration company; fourth, This paper formulates the merger and reorganization strategy of ZT decoration company from two aspects of horizontal merger and reorganization and vertical merger and reorganization. Fifthly, according to the strategy of merger and acquisition, it puts forward the concrete implementation and guarantee measures from four aspects: organizational structure, cost management, talent and brand. Through the research on the merger and reorganization strategy of ZT decoration company, the formulation and planning of strategy is a dynamic process, which should be in line with the economy. Compliance legitimacy and maximization of value. The strategy of ZT decoration company is to take the road of horizontal merger and reorganization and vertical merger and reorganization. The road of horizontal merger and reorganization is to integrate the surrounding small and medium-sized enterprises with ZT decoration company as the core, so as to quickly seize the market. The purpose of expanding the scale of operation; the road of vertical merger and reorganization should be implemented step by step: the first step is forward integration to integrate raw material suppliers to achieve the purpose of saving raw material cost; the second step is vertical integration. It is hoped that the work done in this paper can provide useful reference for the formulation and implementation of M & A strategy of related enterprises.
