中资商业银行的海外并购战略

【摘要】：中资商业银行持续增长的海外收购需要系统的战略规划。本文从业务选择、地域选择、并购方式选择、目标企业选择等四个方面研究了中资商业银行在海外收购中应关注的战略问题。研究结果认为,中资商业银行的海外收购在业务选择方面可考虑同业并购或相关混业并购;在地域选择方面可优先选择香港,其次是政治稳定的东盟地区和非洲国家,再次是成熟市场经济的欧洲和北美地区的国家;在并购方式的选择方面,除直接收购目标银行控制权外,中资商业银行还可考虑少数股权投资与收购相结合的分阶段收购策略;在目标方的选择方面,收购方应重视对并购双方资源匹配程度的分析,将协同效应是否存在和如何实现作为海外收购的战略出发点。
[Abstract]:Overseas acquisitions strategic planning system of Chinese commercial banks continued to grow. From the selection of business, geographical choice, mergers and acquisitions, four aspects of the target enterprise selection strategy of Chinese commercial banks should pay attention to in overseas acquisitions. The results showed that, the Chinese funded commercial bank overseas acquisitions in the choice of business can be considered industry mergers and acquisitions or mixed mergers and acquisitions; choice in the region can choose Hongkong, followed by the political stability of the ASEAN region and African countries, once again is a mature market economy in Europe and North America countries; in the way of acquisitions, in addition to the direct target control of banks, Chinese commercial banks can also take the stage minority equity investments in conjunction with the acquisition of the acquisition strategy; in the target selection, the acquirer should pay attention to the acquisition of both the degree of matching of resources Analysis of the synergistic effect exists and how to realize the strategy of overseas acquisitions as a starting point.
