我国房地产信托法律问题研究

【摘要】:房地产信托隶属金融信托领域项下的部门信托,是通过将信托方式为房地产开发项目进行融资的新型模式。其以高效、低风险为优势,在我国兴起并迅速发展。但是,由于我国传统上对信托领域的研究较少,房地产信托缺少法律上的支撑,大量的房地产信托投资公司只能通过公司自治的方式对房地产信托的一系列内容做出规定。这就导致了我国对房地产信托领域的管理呈现多元化的状态。为了适应房地产信托在我国的实际发展,对房地产信托领域的法律完善至关重要。 本文通过四个部分介绍房地产信托的法律问题。第一部分是房地产信托的基本情况的介绍。其主要包括房地产信托相对于其他房地产的融资方式的优势、房地产信托的基本构成要件、各方当事人、房地产信托的运作流程以及运作模式。通过对其基本情况的简要的介绍,可以得出我国完善房地产信托的必要性,同时还可以为完善我国的房地产信托立法找出突破点。 第二部分是对美国和日本的房地产信托的做出简要的介绍,并对其制度做出评析。通过对美国REITs,风险内控制度、日本土地信托和不动产证券化的介绍,,可以看出我国房地产信托领域与先进国家之间的差距;通过对其制度分析,可以明确我国房地产信托法律制度的发展方向。 第三部分是我国房地产信托的现状及立法缺陷的介绍。我国目前是通过房地产信托投资计划这种方式为房地产开发企业募集资金进行房地产开发项目。其主要依据的是“一法两规”。这三部法律对我国对房地产信托方面的法律规制比较完善,但是对于房地产信托领域中的风险控制以及受益人法律权益的保障方面的规定缺少相关规定,这也是我国立法今后将要不断完善的方向。 第四部分是通过对第二部分我国法律规定的不足之处,通过对第二部分其他国家的先进经验的借鉴,来完善我国的房地产信托领域的法律。本文立足对风险控制及受益人法律权益的保障两个方面来完善我国的法律。
[Abstract]:The real estate trust belongs to the department trust under the financial trust field. It is a new mode of financing the real estate development project through the trust method.It takes the high efficiency, the low risk as the superiority, rises and develops rapidly in our country.However, due to the lack of traditional research on the field of trust, real estate trust lack of legal support, a large number of real estate trust investment companies can only regulate a series of contents of real estate trust through the way of corporate autonomy.This led to the management of real estate trusts in China presents a diversified state.In order to adapt to the development of real estate trust in our country, it is very important to perfect the law of real estate trust.This paper introduces the legal problems of real estate trust in four parts.The first part is the introduction of the basic situation of real estate trust.It mainly includes the advantages of the real estate trust compared with other real estate financing methods, the basic elements of the real estate trust, the parties concerned, the operation process and operation mode of the real estate trust.Through the brief introduction of its basic situation, we can get the necessity of perfecting the real estate trust in our country, at the same time, we can find the breakthrough point for perfecting the legislation of the real estate trust in our country.The second part is a brief introduction to the real estate trust in America and Japan, and the evaluation of its system.Through the introduction of REITs, risk internal control system, land trust and real estate securitization in Japan, we can see the gap between China's real estate trust field and advanced countries.We can make clear the development direction of the legal system of real estate trust in our country.The third part is the introduction of the present situation and the legislative defect of the real estate trust in our country.At present, real estate development projects are carried out by means of real estate trust investment plan for real estate development enterprises.Its main basis is "one law two regulations".These three laws have perfect legal regulation on real estate trust in our country, but lack of relevant regulations on risk control and protection of beneficiary's legal rights and interests in the field of real estate trust.This is also our country legislation in the future will continue to improve the direction.The fourth part is to perfect the law of real estate trust in our country through the deficiency of the second part of our law and the reference of the advanced experience of other countries in the second part.Based on the risk control and the protection of beneficiary's legal rights and interests, this paper consummates the law of our country.
