资本市场企业并购重组的市场化改革研究

【摘要】：自国务院于2010年9月6日出台了《关于促进企业兼并重组的意见》以来，如何进一步推进资本市场企业并购重组的市场化改革成为我国政府与企业的关注重点。研究资本市场企业并购重组的市场化改革相关问题，理论上有助于完善以公有制为主体、多种经济所有制共同发展的基本经济制度理论体系建设，加强市场化改革的理论指导；实践上有利于加快转变经济发展方式，，优化国有经济布局结构的战略性调整，健全国有资本的合理流动机制，促进非公有制经济与中小企业的发展，做强做大优势企业，深化企业改革与推动产业结构优化升级，充分发挥资本市场推动企业并购重组的作用。因此，研究资本市场企业并购重组的市场化改革具有重要的理论与现实意义。本文在综合分析研究国内外学者关于资本市场企业并购重组与市场化改革研究成果的基础上，运用资本市场企业并购重组的相关理论，阐述了市场化改革与资本市场企业之间的作用机理；通过分析我国资本市场企业并购重组的基本现状，总结了市场化改革对于资本市场企业并购重组的功能以及我国市场化改革过程中出现的问题；运用比较分析的方法对国内外相关经验进行系统性阐述，得出我国资本市场企业并购重组时进行市场化改革的必要性与政策建议等相关启示，并且针对市场化改革中我国政府与企业、并购重组企业之间的关系分别建立博弈模型进行博弈分析与总结；最后从政府的宏观角度与资本市场企业的角度，提出我国资本市场企业的并购重组的市场化改革思路。
[Abstract]:Since the State Council issued "opinions on promoting the merger and reorganization of Enterprises" on September 6, 2010, how to further promote the market-oriented reform of M & A in the capital market has become the focus of our government and enterprises. The study of the problems related to the market-oriented reform of M & A in the capital market will help to improve the theoretical system of the basic economic system with public ownership as the main body and the common development of various kinds of economic ownership, and strengthen the theoretical guidance of the market-oriented reform. In practice, it is conducive to speeding up the transformation of the mode of economic development, optimizing the strategic adjustment of the distribution structure of the state-owned economy, improving the rational flow mechanism of state-owned capital, promoting the development of the non-public economy and small and medium-sized enterprises, and strengthening and expanding the superior enterprises. Deepen the reform of enterprises and promote the optimization and upgrading of industrial structure, give full play to the role of the capital market to promote mergers and acquisitions of enterprises. Therefore, it is of great theoretical and practical significance to study the market reform of M & A in capital market. On the basis of comprehensive analysis and research on the achievements of domestic and foreign scholars on capital market M & A and market reform, this paper applies the relevant theories of capital market M & A. This paper expounds the mechanism of the market reform and the capital market enterprises, analyzes the basic situation of the capital market enterprises' merger and reorganization in our country. This paper summarizes the function of market-oriented reform in the capital market enterprise merger and acquisition and the problems in the process of China's market-oriented reform, and systematically expounds the relevant experience at home and abroad by means of comparative analysis. The necessity and policy suggestions of market reform in capital market M & A and reorganization of Chinese capital market enterprises are obtained, and the government and enterprises in the market reform are also pointed out. The relationship between M & A and reorganization enterprises is analyzed and summarized by establishing a game model respectively. Finally, from the perspective of government and capital market enterprises, the market-oriented reform of M & A and reorganization of Chinese capital market enterprises is put forward.
