某跨国通信公司重组战略研究

【摘要】:随着世界经济形势的发展,全球经济一体化的进程进一步加快,跨国企业对于企业并购重组的需求也进一步增强。而通信行业作为技术密集型高科技行业,其并购重组又具有不同于其他企业的特点。本文选取了通信行业的某500强跨国企业AB通信的并购重组战略进行深入研究,以求达到对同类型企业并购重组的借鉴意义。 本文先对该研究的背景、目的,以及研究方法和思路进行了阐述,接着简要介绍了研究中涉及的几个基本概念。随后分析了AB通信并购重组时的企业内外部环境,并对AB通信并购重组的战略实施进行了回顾。在此基础上,本文重点分析了AB通信并购重组前后的绩效变化和并购前后协同的效应,从定量和定性两个方面衡量重组战略实施的成效,提出自己的认识和看法。故本文在对比分析企业资产重组绩效指标的基础上,考核衡量几种财务指标,研究显示,AB通信重组后,业务收入提高,运营能力和管理能力都得到提高,企业的并购重组取得成功,具有一定的协同效应。但是作为一个技术主导型公司,AB通信在技术资本、管理资本等方面整合成果显著,对企业文化的整合认识不足。最后,针对这种不足,本文提出了一些改进企业文化整合的建议和方案,希望对通信行业其他跨国公司的并购重组有所助益。
[Abstract]:With the development of the world economic situation, the process of global economic integration has been further accelerated, and the demand for mergers and acquisitions of multinational enterprises has also been further strengthened. In this paper, the M & A strategy of AB Communications, one of the 500 largest multinational enterprises in the communications industry, is studied in depth in order to provide reference for the M & A of the same type of enterprises. In this paper, the background, purpose, research method and train of thought of this research are introduced firstly, then some basic concepts involved in the research are briefly introduced, and then the internal and external environment of AB communication merger and reorganization is analyzed. On the basis of this, the paper analyzes the performance change and the synergistic effect before and after the merger and reorganization of AB communication. From quantitative and qualitative aspects to measure the effectiveness of the implementation of restructuring strategy, put forward their own understanding and views. Therefore, this paper, on the basis of comparative analysis of the performance indicators of enterprise asset restructuring, evaluates and measures several financial indicators. The research shows that after the recombination of AB communication, the business income is improved, the operation ability and management ability are improved, the M & A of the enterprise is successful and has some synergistic effect, but as a technology-oriented company, AB communication is in the technical capital. The integration of management capital and other aspects is remarkable, and the integration of corporate culture is not well understood. Finally, in view of this deficiency, this paper puts forward some suggestions and plans to improve the integration of corporate culture. I hope it will be helpful to the M & A of other multinationals in the communication industry.
