产业链延伸背景下J环保集团收购X公司的案例研究

【摘要】:随着我国乃至世界对环境问题重视程度的不断提高,环保产业迎来了前所未有的发展机遇。而我国环保产业的集中度仍较低,产业的发展推动我国环保企业迎来一轮又一轮的并购热潮。产业链延伸背景下的纵向收购是企业并购中的重要组成部分,随着全产业链逐渐成为企业的核心竞争优势,以延伸产业链为目的的收购可能会成为环保企业并购的主流。本文通过案例分析的方式对一家环保企业基于产业链延伸的企业收购行为进行研究,通过对收购依据、收购中的管理、收购过程及整合、经营战略的变革以及收购后的效益进行分析,针对实际中出现的问题进行讨论并提出建议。收购是一项高风险的投资活动,而现阶段对产业链延伸背景下的环保企业收购研究却很有限。因此,本文对未来的投资者来说具有一定的借鉴和指导意义。通过对案例进行分析,本文的结论是:(1)日益激烈的竞争环境会催生企业实施多元化发展战略,而当企业意图实施多元化发展战略时,并购可以使企业加快进入到新行业的速度,并降低企业进入到新行业的壁垒限制;(2)产业链延伸背景下的环保集团收购行为中,选择目标企业时,目标企业与收购企业的战略目标和战略需求要高度一致,这样有助于形成较好的协同效应,帮助收购企业达成战略目标;(3)企业收购后的整合主要包括组织制度整合、生产经营整合、财务整合、人力资源整合、企业文化整合等方面,其中人力资源、企业文化的整合可能在现实操作中更易遇到困难;(4)企业在收购后可能会出现管理团队合作不畅、新的管理理念方法和原有管理体制及人员不融合、客户群丢失和市场占有率降低等问题,可通过组织机构调整、加强企业制度和文化管理以及积极拓展市场等方式加以改善和解决;(5)企业完成收购后,可以根据内外部环境变化,以提升企业核心竞争力为目标,从组织机构、人力资源、企业管理、经营模式和企业战略转型等方面进行积极调整和改变。
[Abstract]:With the increasing attention to environmental problems in China and the world, the environmental protection industry is facing an unprecedented opportunity for development. However, the concentration of environmental protection industry in China is still relatively low. The development of industry promotes the development of environmental protection enterprises in our country to usher in round after round of M & A upsurge. Vertical acquisition under the background of extended industrial chain is an important part of M & A. As the whole industry chain becomes the core competitive advantage of enterprises, the whole industry chain gradually becomes the core competitive advantage of enterprises. The acquisition aimed at extending the industrial chain may become the mainstream of the merger and acquisition of environmental protection enterprises. This paper studies the acquisition behavior of an environmental protection enterprise based on the extension of the industrial chain through a case study. Management, acquisition process and integration, business strategy changes and post-acquisition benefits are analyzed, and problems that arise in practice are discussed and proposed. Acquisition is a high-risk investment activity. However, the research on the acquisition of environmental protection enterprises in the context of the extension of the industrial chain is very limited. Therefore, this paper has some reference and guiding significance for future investors. The conclusion of this paper is that the increasingly fierce competitive environment will lead to the implementation of diversification development strategy, and when the enterprise intends to implement diversification development strategy, M & A can speed up the entry of enterprises into new industries. Under the background of the extension of the industrial chain, the environmental protection group's acquisition behavior should be reduced. When selecting the target enterprise, the strategic objectives and the strategic demand of the target enterprise and the acquisition enterprise should be highly consistent. This will help to form a better synergy and help the acquisition enterprises achieve their strategic objectives.) the integration of enterprises after acquisition mainly includes organizational system integration, production and management integration, financial integration, human resources integration, and corporate culture integration, and other aspects, such as organizational system integration, production and management integration, financial integration, human resources integration, and corporate culture integration. Among them, the integration of human resources and corporate culture may encounter more difficulties in practical operation. (4) after acquisition, enterprises may have poor management team cooperation, and the new management concepts and methods will not be integrated with the original management system and personnel. Problems such as the loss of customer base and the reduction of market share can be improved and solved by means of organizational restructuring, strengthening enterprise system and cultural management, and actively expanding the market.) after completion of the acquisition, the enterprise can change according to the internal and external environment. In order to improve the core competence of enterprises, we should adjust and change actively from the aspects of organization, human resources, enterprise management, business model and strategic transformation.
