我国金融混业经营监管法律制度研究

【摘要】:在全球经济一体化和金融混业经营趋势的大背景下,我国银行、保险、证券、信托等金融机构间的业务合作日趋加强,初步形成了业务渗透、优势互补、共同利用市场资源的新格局,实践中也出现了部分金融控股公司,混业经营已成为金融业发展的必然趋势。但我国现行的金融监管法律制度和监管体制仍为分业监管,相关法律法规以及监管制度缺乏时效性和针对性,难以适应混业经营背景下的金融业发展的需要,主要表现在极易导致监管冲突和监管漏洞、各监管部门沟通协调难度大以及抑制金融创新等问题。本文针对上述问题,以混业经营监管法律制度一般理论为切入点,分析和比较美、英、德等国混业经营监管法律制度改革经验,然后结合我国金融业发展和监管现状,提出在我国当前金融业发展水平、金融法律制度健全程度以及金融监管机构的监管能力均处于较低层次的现状下,激进地强求监管法制的立即改变是不现实的。必须立足国情,同时借鉴外国混业经营监管的成功经验,首先应当健全我国现行金融监管法律制度,注重立法的前瞻性和系统化,使对金融混业经营的监管有法可依,同时与相关法律制度接轨。加快金融控股公司的立法进度,确立金融控股公司应有的法律地位,加强对金融控股公司的监管,并完善我国金融机构信息批露监督和金融机构市场退出的监管法律。其次应当完善我国的金融监管体制,在完善监管机构之间协调机制前提下,采用功能性的监管方式;本文中综合运用经济学、金融学和法学等多学科理论,采用历史纵向概括和国别横向比较相结合的分析方法,希望能为我国金融混业经营监管法律制度的完善提供一些参考。
[Abstract]:Against the background of global economic integration and the trend of mixed operation of finance, the business cooperation among banking, insurance, securities, trust and other financial institutions in China has been increasingly strengthened, which has initially formed business penetration and complementary advantages. In practice, some financial holding companies have appeared in the new pattern of using market resources together, and mixed operation has become an inevitable trend in the development of financial industry. However, the current legal system and supervision system of financial supervision in our country are still separated, and the relevant laws and regulations and the regulatory system are lack of timeliness and pertinence, so it is difficult to adapt to the needs of the development of the financial industry under the background of mixed operation. The main problems are that it is easy to lead to regulatory conflicts and loopholes, the communication and coordination of the regulators is difficult and the financial innovation is restrained. In view of the above problems, this paper analyzes and compares the experiences of the reform of the legal system of mixed operation supervision in the United States, Britain, Germany and other countries by taking the general theory of the legal system of mixed operation and supervision as the starting point, and then combines the development and the present situation of the financial industry of our country. It is pointed out that under the condition that the current level of financial industry development, the degree of perfection of financial legal system and the supervisory ability of financial supervision institutions are all at a lower level, it is not realistic to insist on the immediate change of the supervisory legal system in a radical way. We must base ourselves on the national conditions and learn from the successful experience of foreign mixed operation supervision. First of all, we should perfect the current legal system of financial supervision in our country, pay attention to the foresight and systematization of legislation, so as to make the supervision of financial mixed operation according to the law. At the same time with the relevant legal system. We should speed up the legislative progress of the financial holding company, establish the legal status of the financial holding company, strengthen the supervision of the financial holding company, and perfect the supervision law on the disclosure of financial institution information and the withdrawal of the financial institution market in our country. Secondly, we should perfect the financial supervision system of our country, adopt the functional supervision mode under the premise of perfecting the coordination mechanism among the supervision institutions; in this paper, we should make comprehensive use of the multi-disciplinary theories such as economics, finance and law, etc. With the combination of historical vertical summary and country horizontal comparison, the author hopes to provide some references for the improvement of the legal system of financial mixed operation supervision in China.
