政府规范国有商业银行股权管理研究

【摘要】：对我国国有商业银行而言,政府具有双重身份,即所有者和公共管理者,因此我国政府对国有商业银行在股权管理和公共管理两个层面实施管理。本文主要通过研究政府对国有商业银行股权管理。我国国有商业银行历经了国家专业银行分设、国有独资商业银行以及股份制商业银行改革三个阶段,逐步形成了比较完善的股权管理机制,但是产权主体不明晰,内部治理结构不健全,内部人控制,激励方式过于单一,信息披露不完善等问题依然存在。本文在具体分析我国国有商业银行股权管理缺陷的基础上,通过比较英美政府和德日政府在国有商业银行的股权管理方面的特点,得出完善我国国有商业银行股权管理,需要政府在股权结构、内部公司治理结构、激励方式和信息披露制度等方面加以规范。
[Abstract]:To the state-owned commercial banks of our country, the government has the dual identity, that is, the owner and the public manager, so our government carries out the management to the state-owned commercial bank in the equity management and the public management. This article mainly through the research government to the state-owned commercial bank equity management. China's state-owned commercial banks have undergone three stages of reform, namely, the establishment of national specialized banks, the reform of wholly state-owned commercial banks and the reform of joint-stock commercial banks, which have gradually formed a relatively perfect equity management mechanism, but the main body of property rights is not clear. Internal governance structure is not perfect, internal control, incentive mode is too single, information disclosure is not perfect and so on. On the basis of analyzing the defects of the equity management of the state-owned commercial banks in China, this paper compares the characteristics of the British and American governments and the German and Japanese governments in the equity management of the state-owned commercial banks, and draws a conclusion to perfect the equity management of the state-owned commercial banks in our country. The government should standardize the ownership structure, internal corporate governance structure, incentive mode and information disclosure system.
