晋商文化传统、私人惩罚机制与不完全契约的自我履行——从“朋合制”到“合伙制”的历史制度分析

【摘要】：文章运用现代契约理论和历史制度分析方法,对明清晋商经营组织方式从"朋合制"到"合伙制"的演变进行了深入的分析。研究表明,导致"合伙制"替代"朋合制"成为晋商主要经营组织方式的原因在于:晋商的社群主义文化传统,使其得以建立起比较完善的"私人惩罚机制",可以通过"道德自责"和"违规制裁"两种途径对违约者施加有效的"私人惩罚"。这种有效的"私人惩罚机制"保证了"法律约束"缺失情况下不完全契约的自我履行,也为晋商"合伙制"的发展,提供了深厚的文化背景和坚实的制度保障。
[Abstract]:By using modern contract theory and historical system analysis method, this paper analyzes the evolution of Shanxi merchants' management and organization from "friendship system" to "partnership system" in Ming and Qing dynasties. The research shows that the reason why "partnership" instead of "friendship system" becomes the main mode of management and organization of Shanxi merchants lies in the cultural tradition of communitarianism of Shanxi merchants. So that it can establish a relatively perfect "private punishment mechanism", and can impose effective "private punishment" on the violators through two ways: "moral self-accusation" and "illegal punishment". This kind of effective "private punishment mechanism" guarantees the self-fulfillment of incomplete contract in the absence of "legal restraint", and also provides a deep cultural background and a solid system guarantee for the development of "partnership" of Shanxi merchants.
