论我国企业法律职业制度的建构

【摘要】:近些年来,随着我国社会经济的飞速发展和全球经济一体化趋势的加强,我国企业面临的法律风险越来越大,特别是加入WTO后,我国与其他国家之间的经济交往日益频繁,这对我国企业依法经营和依法决策提出了更高要求,企业法律职业制度正是在这种背景下应运而生。目前从我国的企业法律职业现状来看,主要存在有两种制度形式:一是公司律师制度;二是企业法律顾问制度。还有一种存在形式极为普遍的制度,社会律师兼任企业法律顾问,严格来说,此种形式只是企业法律顾问制度的组成部分或形式之一种。毋庸置疑,企业法律职业制度作为我国现代企业制度的重要组成部分,在防范和抵御法律风险方面发挥着举足轻重的作用,已日益成为我国企业增强其自身竞争力的重要力量。从这个角度讲,我国现存的任何一种企业法律职业制度,无疑都具有其存在的合理性和必要性。然而,由于目前我国对企业法律职业制度缺乏系统的研究与理性思考、法律服务市场竞争和管理机制不够规范以及我国行政体制改革的不完善等原因,导致我国企业法律职业制度在发展的过程中,也出现了一些不容忽视的状况:两种制度并存,受不同的规章制度的约束,分别由司法行政机关和国资委来监管,使得我国的企业法律职业制度管理十分混乱;不同的准入条件,造成了两种不同职业素养的企业法律服务人员,导致企业法律服务队伍的发展良莠不齐,同时公司律师和企业法律顾问面对两种资格证书产生身份认同上的障碍,企业在两个管理部门、两种制度规定面前也显得无所适从。因此,规范企业法律职业制度成为相关部门目前一项十分迫切的任务。目前,学界和实务界虽然对企业法律职业制度的进步和完善做出了积极而有意义的探索,但由于一系列原因,这些努力尚未引起相关主管部门的重视。 本文采用了比较和历史考察的方法,从我国两种企业法律职业制度并存的现状出发,提出我国企业法律职业制度存在的问题:两种准入门槛,导致企业法律服务队伍发展良莠不齐;两种制度规定相互矛盾冲突,使得企业无所适从;两个监管部门,造成管理上的混乱。对这三大问题的原因进行了深刻分析,指出对企业法律职业制度缺乏系统的研究和合理规划;法律服务市场管理不够规范;我国政治权利的分割化是导致我国企业法律法律职业制度目前现状的主要原因。论文通过对国外企业法律制度形成、发展及特点的分析,得出对重新建构我国企业法律职业制度的几点启示,认为我国现阶段,在不可能明显取消任何一种制度的情况下,由企业根据各自利益需要,自由选择企业法律服务的设置形式,但为了我国企业法律职业度的长期发展,在时机成熟时,应该实现两种制度的统一,鉴于公司律师制度的发展在国内已相对成熟,所以在时机成熟时,应取消企业法律顾问制度,建立完善的公司律师制度。
[Abstract]:In recent years, with the strengthening of China's economic and social development and the trend of global economic integration, more and more legal risks faced by Chinese enterprises bigger, especially after joining the WTO, between China and other countries in economic exchanges have become increasingly frequent, the enterprises of our country according to law and business decision according to the law put forward higher requirements, enterprise legal occupation system is emerged in this context. From the current status quo of the legal occupation of the enterprises in our country, mainly in the form of two systems: one is the company lawyer system; two is the enterprise legal adviser system. There is a common form in the social system, as lawyer and corporate counsel, strictly speaking this kind of form, is the enterprise legal adviser system part of or in the form of occupation. Undoubtedly, the enterprise legal system as an important component of China's modern enterprise system, Play an important role in the prevention and protection against legal risks, has become an important force in China's enterprises to enhance their competitiveness. From this perspective, China's existing legal system of enterprise of any kind of occupation, is undoubtedly the rationality and necessity of its existence. However, due to the current of enterprise in our country the legal system of the lack of occupation and rational thinking of the legal service system, market competition and management mechanism is not standardized and the administrative system reform in our country is not perfect and other reasons, resulting in China's legal system of enterprise occupation in the process of development, there are some that can not be ignored: the coexistence of two systems by different rules and regulations the constraint, respectively, by the judicial administrative organs and the SASAC supervision, make the enterprise legal occupation management system in China is very confusing; different access conditions, resulting in two kinds of Enterprise legal service personnel of the same occupation accomplishment, led to the development of enterprise legal service team uneven in quality, at the same time, the company's lawyers and corporate counsel in the two qualification certificate of identity on the barriers, enterprises in the two management department, before the provisions of the two systems also appears at a loss. Therefore, the legal system has become a standard enterprise occupation related departments at present, it is an urgent task. At present, the academic and practical circles while making a positive and meaningful exploration on the legal system of enterprise occupation progress and improvement, but due to a series of reasons, these efforts have not yet attracted the attention the relevant authorities.
This paper adopts the method of comparison and historical study, from the current situation of the coexistence of two kinds of Chinese enterprise legal occupation system, puts forward the existing legal system of enterprise occupation in China: two kinds of barriers to entry, led to the development of enterprises uneven in quality legal service; the provisions of the two systems of mutual conflicts, make enterprises at a loss; two regulators that caused confusion in management. The reason of these three problems have been deeply analyzed, pointed out that the lack of systematic research and rational planning of enterprise legal occupation system; legal service market management is not standardized; the division of political rights is the main cause of legal occupation of enterprise of our country legal system. Through the present situation the formation of the legal system of foreign enterprises, analysis of development and characteristics, revealed on how to re construct the system of enterprise legal occupation in China, I think At present, in may cancel any a system, which requires companies according to their own interests, freedom of choice of enterprise legal services provided, but for the long-term development of China's enterprise legal occupation degree, when the time is ripe, should realize the unification of the two systems, in view of the development of corporate lawyer system in the country has been relatively mature, so when the time is ripe, we should cancel the enterprise legal adviser system, establish and perfect the system of corporation lawyer.
