房地产项目公司股权转让的法律风险及防范

【摘要】:本文除引言、结语外共分四部分。第一部分是房地产项目公司股权转让概念及立法现状。首先从公司股权的概念及性质出发,定义了房地公司股权转让及房地产项目转让的概念。对房地产项目公司股权转让的立法现状进行分析。从《公司法》中对股权转让的规定;引申到《城市房地产管理法》中对房地产项目转让的相关规定;特别是与《物权法》中物权性质的分析,对股权这一新兴的综合性质的权利所具有的物权属性在性质和权能上进行比较研究。第二部分是房地产项目公司股权转让的运行模式、程序及其优点。介绍了房地产项目公司股权转让的运行模式和对内对外两种具体程序。分析了转让房地产项目公司股权与转让房地产项目在税费、登记手续、审批手续等方面利弊,突出了房地产项目公司股权转让的优点。第三部分是介绍转让房地产项目公司股权存在的法律风险。包括房地产项目本身的法律风险;项目公司企业经营和公司内部治理的法律风险;公司债务、项目资产担保、诉讼仲裁的法律风险以及项目公司股权转让无效的法律风险。第四部分重点介绍项目公司股权转让法律风险的防范。包括转让前股权受让方的尽职调查和股权转让方的披露义务;股权受让方避免房地产项目公司股权转让法律风险的对策;分步骤防范股权转让风险以及撰写股权转让合同的技巧。
[Abstract]:In addition to the introduction, the conclusion is divided into four parts. The first part is the concept of real estate project company equity transfer and legislative status. Firstly, the concepts of real estate company equity transfer and real estate project transfer are defined from the concept and nature of company equity. To the real estate project company equity transfer legislation present situation carries on the analysis. From the provisions of the Company Law on the transfer of shares; from the relevant provisions of the Urban Real Estate Management Law on the transfer of real estate projects; especially from the analysis of the nature of real right in the Real right Law, This paper makes a comparative study on the nature and power of the property right of equity, which is a new comprehensive right. The second part is the real estate project company equity transfer operation model, procedures and advantages. This paper introduces the operation mode of equity transfer of real estate project company and two specific procedures of internal and external. This paper analyzes the advantages and disadvantages of transferring the stock right of the real estate project company and the transfer of the real estate project in the aspects of taxes and fees, registration procedures, examination and approval procedures, and highlights the advantages of the equity transfer of the real estate project company. The third part is to introduce the legal risk of transferring the equity of real estate project company. It includes the legal risk of the real estate project itself; the legal risk of the enterprise operation and the internal governance of the project company; the legal risk of corporate debt, project asset guarantee, litigation arbitration and the legal risk of invalid equity transfer of the project company. The fourth part focuses on the prevention of legal risk of equity transfer in project companies. It includes the due diligence of the transferor before the transfer and the disclosure obligation of the transferor, and the countermeasures to avoid the legal risk of the equity transfer of the real estate project company. Step by step guard against the risk of equity transfer and write the skills of equity transfer contract.
