【摘要】：经理制度的构建和完善是公司治理极为重要的一个课题，该制度体系由经理的基本概念、法律地位、经理权、经理的义务及民事责任等部分组成，因此，对以上内容的研究便成为本文的重点。除引言和结语外，本文共分四个部分。第一部分解析了公司经理的基本概念。重点论述了经理的涵义、经理的设置以及经理制度的价值。该部分首先明确了经理的法律含义，即经理是公司董事会聘任的具体负责公司经营管理活动的高级管理人员；同时，对我国经理的设置模式进行了分析并详述了我国《公司法》针对不同公司形式规定不同设置模式的原因；最后阐述了建立完善的经理制度的必要性和重要性。第二部分论述了我国公司经理的资格及法律地位。笔者认为经理必须同时满足公司规定的积极和消极的任职条件才有资格被聘任，而经理的法律地位则是本篇论文的核心内容，笔者通过论述经理与公司的关系以及经理与公司中其他相关主体之间关系，最终明确了经理的高级管理人的法律地位。第三部分考察的是经理权。经理职权包括对内经营管理权和对外代表权两个方面，笔者对这两方面的内容进行了具体介绍，针对我国《公司法》在经理对外代表权立法方面的空白与缺陷，提出了自己的建议，并强调经理代表权为今后研究的重点；同时，还针对实践中遇到的经理职权方面的难题提出了具体的解决办法。第四部分为公司经理的义务及民事责任。其中经理的义务部分主要解决经理作为公司的高级管理人员，应履行哪些义务以及应如何履行义务的问题；经理的民事责任部分则是解决经理在不履行义务，给公司或者第三人造成损失的情况下应承担什么样的责任以及怎样承担责任的问题。与此同时，，对于我国立法在该方面的不足提出了完善意见。最后，笔者对于今后我国公司经理制度努力的方向给出了建议，并希望自己的拙见对公司经理制度的完善有所帮助。
[Abstract]:The construction and perfection of the manager system is an extremely important subject of corporate governance. The system consists of the basic concepts of the manager, the legal status, the right of the manager, the duties of the manager and the civil liability, and so on. The research of above content becomes the focal point of this article. In addition to the introduction and conclusion, this paper is divided into four parts. The first part analyzes the basic concept of company manager. This paper mainly discusses the meaning of manager, the setting of manager and the value of manager system. This part firstly clarifies the legal meaning of the manager, that is, the manager is the senior manager who is appointed by the board of directors to be responsible for the management activities of the company; at the same time, This paper analyzes the setting mode of managers in our country and expounds the reasons why the company law of our country prescribes different setting modes according to different company forms, and finally expounds the necessity and importance of establishing a perfect manager system. The second part discusses the qualification and legal status of Chinese company manager. The author thinks that the manager must meet the positive and negative conditions of the company to be appointed, and the legal status of the manager is the core of this paper. By discussing the relationship between the manager and the company and the relationship between the manager and other relevant subjects in the company, the author finally defines the legal status of the senior manager of the manager. The third part examines the manager's right. The functions and powers of the manager include the internal management power and the external representation. The author introduces the two aspects in detail, aiming at the blank and defect of the legislation of the manager's foreign representation in the Company Law of our country. The author puts forward his own suggestion and emphasizes that the manager's representation is the key point of the future research, and at the same time, it also puts forward some concrete solutions to the problems encountered in practice in the field of manager's authority. The fourth part is the company manager's obligation and civil liability. The part of the manager's obligation mainly solves the problem of which obligation the manager should perform as the senior manager of the company and how to perform the obligation, while the part of the manager's civil liability is to solve the problem of the manager's failure to perform the obligation. What kind of liability and how to take responsibility in the case of loss to the company or the third party. At the same time, to our country legislation in this aspect the insufficiency proposed the consummation opinion. Finally, the author gives some suggestions on the direction of our company manager system in the future, and hopes that my humble opinion will be helpful to the improvement of the company manager system.
