评新《公司法》对小股东权益保护的几项重要举措

【摘要】：本文在对原《公司法》与新《公司法》进行对比的基础上,就新《公司法》关于保护小股东权益的几项重要举措—累积投票制度、知情权、股权收购请求权、公司解散请求权以及股东诉权进行了较为深入的评述,笔者认为,新《公司法》体现了维护社会公平之主旨。
[Abstract]:On the basis of the comparison between the original Company Law and the new Company Law, this paper discusses several important measures of protecting the rights and interests of minority stockholders in the New Company Law-the cumulative voting system, the right to know, and the right to claim for ownership acquisition. The author thinks that the new Company Law embodies the purport of maintaining social equity.
