公司法与劳动法语境下公司高管身份的双重性

【摘要】:公司法与劳动法作为同一位阶的法律,法律效力具有平等性。在调整对象发生重合时,无法适用上位法与下位法、普通法与特别法的法理原则,且我国立法机关、司法机关并未就公司法与劳动法发生冲突做出特别规定。理清这两种不同领域的企业高管的权利义务,有利于在进行具体问题处理时,既能保证公司法的立法宗旨,又能更好的实现劳动法的立法目的。
[Abstract]:As the same level of law, company law and labor law have equal legal effect. When the object of adjustment is overlapped, it is impossible to apply the principle of jurisprudence of superior law and lower law, common law and special law, and the legislature and judicial organ of our country have not made special provisions on the conflict between company law and labor law. To clarify the rights and obligations of executives in these two different fields is conducive to ensuring the legislative purpose of company law and realizing the legislative purpose of labor law when dealing with specific problems.
