刍议社会认知对公司法的影响

【摘要】：制度社会学除了考虑组织外部环境拥有的要素之外,更重视象征系统、认知系统、规范性信念等要素对组织的影响。制度社会学认为这些要素是由文化要素构成的,它关注的是人们生活的世界是怎样的,它认为组织及成员被嵌入到文化系统中。因此,它认为广泛的制度内容影响组织行为,相对于技术和经济环境而言,它更重视社会文化环境。基于此,对公司治理的形成具有很大影响力的是社会期待、社会责任等社会规范。
[Abstract]:Besides considering the elements of external environment, institutional sociology pays more attention to the influence of symbolic system, cognitive system, normative belief and so on. Institutional sociology holds that these elements are made up of cultural elements. It pays attention to the world in which people live. It thinks that organizations and members are embedded in the cultural system. Therefore, it believes that a wide range of institutional content affects organizational behavior and pays more attention to the social and cultural environment than to the technical and economic environment. Based on this, social norms such as social expectation and social responsibility have great influence on the formation of corporate governance.
