小股东权益的立法保护及其完善

【摘要】：为了保护小股东的权益,我国修订后的公司法建立了股东提出意见、异议股东股份处理以及股东权利救济等多种法律制度,但在保障小股东参与公司事务决策机制、小股东知情权机制、小股东退出公司机制和小股东司法救济机制等四大机制上,依然存在不少问题,需要通过法律制度的完善来进一步做好小股东权益的法律保护工作。
[Abstract]:In order to protect the rights and interests of minority shareholders, the revised Company Law of our country has established a variety of legal systems, such as shareholders' opinions, dissenting shareholders' share handling and shareholders' right relief, but it ensures minority shareholders' participation in the decision-making mechanism of company affairs. There are still many problems in the mechanism of minority shareholders' right to know, the mechanism of minority shareholders' withdrawal from the company and the mechanism of judicial relief for minority shareholders. It is necessary to further improve the legal protection of the rights and interests of minority shareholders through the perfection of the legal system.
