我国产业投资基金相关法律问题研究

【摘要】：我国的产业投资基金其实就是国外的股权投资基金,其本身并不是一种商业组织形式,事实上,它最终采取哪种组织形式,就具有该种组织形式所可能产生的风险,从而受规范该种组织形式的法律的约束。产业投资基金的主要组织形式包括公司型、信托型和合伙型等,各有利弊。在产业投资基金监管中政府应起到导向作用,相关法律应起到严格规范作用,但并不一定需要专门的产业投资基金立法或一部《投资基金法》,而应通过现有的《公司法》、《信托法》和《合伙企业法》及其实施细则的完善,再加上国家的产业投资导向政策与投资目录来规范。
[Abstract]:China's industrial investment fund is actually a foreign equity investment fund, it is not a form of commercial organization itself, in fact, which kind of organization form it ultimately takes, it has the risk that this kind of organization form may produce. Thus be bound by the law regulating this form of organization. The main organization forms of industrial investment fund include company type, trust type and partnership type, each has its advantages and disadvantages. The government should play a guiding role in the supervision of industrial investment funds, and the relevant laws should play a strict and standardized role, but it does not necessarily require special legislation on industrial investment funds or an Investment Fund Law, but should adopt the existing Company Law, The perfection of the Trust Law and the Partnership Law and their implementing rules are regulated by the state's industrial investment-oriented policy and investment catalogue.
