德国有限责任公司资本筹措的现代化

【摘要】：2008年德国对其《有限责任公司法》进行了一次全面的修订,通过对隐性实物出资、往返出资等这些旧的规定及判例体系的改革,以及有限责任公司授权资本制度的引入,德国有限责任公司对投资者的吸引力被大大提高了,但同时在一定程度上弱化了对德国有限责任公司债权人利益的保护。
[Abstract]:In 2008, Germany made a comprehensive revision to its Company Law of Limited liability, through the reform of the old regulations and jurisprudence system, such as implicit physical and round-trip investment, as well as the introduction of the authorized capital system of the limited liability company. German LLC's attractiveness to investors has been greatly enhanced, but at the same time, it has weakened the protection of the interests of German LLC creditors to a certain extent.
