中国企业海外并购中的若干劳工法律问题研究

【摘要】:20世纪90年代以来,跨国并购已成为国际直接投资的主要方式,尽管受国际金融危机影响,全球跨国并购市场曾一度低迷,但随着全球经济复苏,跨国并购又开始趋于活跃。伴随着近10年来国内经济的崛起,中国企业“走出去”进行海外并购投资的步伐不断加快。统计数据显示,2014年中国企业海外并购的交易金额和交易量均显著上升,预期中国并购市场将在2015年继续健康发展,未来将会有更多的中国企业着眼于企业战略进行海外并购。但中国企业海外并购的征程也并非一帆风顺,上海汽车公司收购韩国双龙汽车公司折戟、TCL联姻法国阿尔卡特失利、首钢集团并购秘鲁铁矿公司后经营受阻等成为失败案例,即便是如联想收购IBM PC等成功交易的背后,也为妥善解决劳工问题而历经波折。大量的海外并购案例表明,劳工法律问题已成为影响并购成败的重要因素。因此,深入研究中国企业海外并购中面临的劳动法律问题,对提高我国企业海外并购的成功率,保障“走出去”战略切实执行具有重要的现实意义和实践价值。同时也是对企业跨国并购这一宏观问题的细化,具有一定的理论意义。全文共有五个章节,分为三大部分:第一部分为海外并购中的劳工法律问题概述。该章首先对中国企业海外并购的历程、现状、特点做了梳理,从国家层面与国际层面考察了有关劳工保护的相关立法,并探讨了劳工法律保护对中国企业海外并购产生的影响,在此基础上分析总结海外并购中出现的典型劳工法律问题。第二部分是本文的重点章节,第二章到第四章通过引入案例,分别阐述了海外并购中的劳工合同承继、解雇或裁员、工会势力这三个典型的劳工法律问题,并结合主要资金流入国的相关劳工立法及劳工政策对各个问题加以详细论述,引导我国企业充分重视东道国的劳工法律法规,减少中国企业在以往海外并购中对待劳工法律问题的盲目性与随意性,避免并购前后因劳工法律问题引发风险,造成不必要的损失。第三部分在探讨企业应对各类劳工法律问题之策略的基础上,进一步从国家层面提出应对该问题的几点思考:中国应发挥自己在国际上的影响力,通过在双边、区域及多边三个层次参与更高标准的国际投资规则的制定,对未来新的国际投资体制的形成施加影响,为中国企业创造一个良好的海外并购投资环境;此外,须加强国内立法、构建海外投资保险制度并建立相关辅助措施,为中国企业海外并购指引方向、保驾护航。
[Abstract]:Since 1990s, transnational merger and acquisition has become the main way of international direct investment. Despite the impact of the international financial crisis, the global transnational merger and acquisition market was once depressed, but with the global economic recovery, transnational mergers and acquisitions began to become active. With the rise of the domestic economy in recent 10 years, Chinese enterprises "go out" and carry out overseas The pace of purchase and investment is accelerating. Statistics show that in 2014, the amount and volume of Chinese enterprises' overseas mergers and acquisitions have increased significantly. It is expected that China's merger and acquisition market will continue to develop healthfully in 2015. In the future, more Chinese enterprises will focus on corporate strategy for overseas mergers and acquisitions. But the journey of Chinese enterprises overseas mergers and acquisitions is also Not smooth sailing, Shanghai Automotive Co bought South Korea's Shuanglong Motor Company to halberd, TCL marriage in France Al Carter lost, Shougang Group merger and acquisition of Hierro Peru Co after the failure to become a failure case, even after the acquisition of IBM PC, such as Lenovo's successful transactions, also for the proper solution of the labor problem, a large number of overseas and The purchase case shows that the labor law has become an important factor affecting the success or failure of the merger and acquisition. Therefore, it is of practical and practical value to improve the labor law problems faced by Chinese enterprises overseas mergers and acquisitions, to improve the success rate of Chinese enterprises' overseas mergers and acquisitions and to ensure the practical implementation of the "going out" strategy. There are five chapters in this paper, which are divided into three parts. The first part is an overview of the labor law in overseas mergers and acquisitions. The chapter first makes a comb on the history, current situation and characteristics of Chinese enterprises' overseas mergers and acquisitions, and studies the related work from the national level and the international level. The related legislation of industrial protection and the influence of labor law protection on Chinese enterprises' overseas merger and acquisition are discussed. On this basis, the typical labor law problems in overseas merger and acquisition are analyzed and summarized. The second part is the key chapter of this article, and the second to the fourth chapter introduces the labor contract in the overseas merger and acquisition by introducing the cases. Following, dismissal or layoff, Trade Union forces are the three typical labor law issues, and the related labor legislation and labor policy are discussed in detail in connection with the main capital inflow to the country, leading our enterprises to pay full attention to the labor laws and regulations of the host country, and to reduce the treatment of labor law in the past overseas mergers and acquisitions by Chinese enterprises. Blindness and randomness, avoid the risk caused by labor law before and after the merger and acquisition, and cause unnecessary losses. On the basis of discussing the strategy of dealing with all kinds of labor law, the third part puts forward some thoughts on how to deal with the problem from the state level: China should exert its own influence in the world and through the double. The three levels of the border, regional and multilateral participation in the formulation of higher standards of international investment rules will exert influence on the formation of a new international investment system in the future, create a good environment for Chinese enterprises to invest in overseas mergers and acquisitions; in addition, we must strengthen domestic legislation, build an overseas investment insurance system and establish relevant auxiliary measures for Chinese enterprises.
