法人投资者功能性国籍的确定——以ICSID仲裁制度及实践为中心

【摘要】：选择ICSID仲裁已经成为通行的国际投资争议解决方式。ICSID公约第25条(2)(b)为扩大公约的属人效力范围,赋予具有外国控制因素的东道国法人投资者以另一缔约国国籍,但公约本身对法人东道国国籍的认定、外国控制的形式和程度,以及功能性国籍协议的具体表现形式等付之阙如,学者学说和ICSID仲裁实践歧异纷呈。法人投资者的东道国国籍应当依据东道国国内法及相关国际条约予以认定,而其功能性国籍则需满足ICSID公约的客观标准,功能性国籍协议并不限于明示的书面形式。
[Abstract]:Article 25 (2) (b) of the ICSID Convention expands the scope of personal effect of the Convention by granting the nationality of another Contracting State to the legal person investor of the host country with foreign control factors, but the Convention itself recognizes the nationality of the host country of the legal person, the form and degree of foreign control, and For example, there are divergences between scholars'theories and ICSID arbitration practice. The nationality of the host country of a legal person investor should be determined according to the domestic law of the host country and relevant international treaties, while its functional nationality should meet the objective standards of ICSID convention.
