船用燃油供应合同法律问题研究

【摘要】：2016 年 5 月,英国最高法院对 PST Energy 7 Shipping LLC and another v O.W.Bunker Malta Ltd.案(本文以下简称The "Res Cogitans"案)作出的最终判决,引起了航运界广泛重视与激烈讨论。一方面,在当今船舶营运的成本构成中,船用燃油费用大约占总成本的40%,尤其是船用燃料油,因其消耗量巨大,一直是整个航运界关注的焦点。另一方面,判决中对于船用燃油供应合同性质的认定以及该判决可能导致船东面临双重赔付风险,直接影响到了燃油交易主体的权利义务关系。因此,关于船用燃油供应合同法律问题的研究对航运和司法实践都具有重要的现实意义。全文分为引言、正文和结语三部分。正文部分分为四章:第一章"船用燃油供应合同的概述"。本章主要对船用燃油供应合同从概念、常用格式和法律关系三个方面进行基本介绍,主要分析和对比了 O.W.标准格式合同和BIMCO标准燃油合同两种常用格式,并从合同的主体和双方权利义务关系两方面对该合同的法律关系进行了介绍。第二章"船用燃油供应合同的性质和特点"。本章对船用燃油供应合同的属性之争进行了详细的分析对比,并且通过比较笔者提出了自己的观点。而后总结出船用燃油供应合同区别于其他类型合同的特殊之处。第三章"船用燃油供应合同下当事方面临的法律风险"。本章依据船用燃油供应合同的性质和特点,并结合相关案例,分别对船东和供油方两方面主体在船用燃油供应合同下面临的法律风险进行了论述。第四章"船用燃油供应合同下当事方的风险防范"。本章主要针对合同各相关方所面临的法律风险,参考各国法律、判例和国际组织的相关建议,提出了一些具有可行性的防范措施,以规避各合同当事方在合同下面临的法律风险。
[Abstract]:PST Energy 7 Shipping LLC and another v O.W.Bunker Malta Ltd., United Kingdom Supreme Court, May 2016 The final judgment of the case (The "Res Cogitans" case) has aroused extensive attention and heated discussion in the shipping industry. On the one hand, the cost of ship fuel accounts for about 40% of the total cost, especially the fuel oil, because of its huge consumption, which has been the focus of the whole shipping industry. On the other hand, the determination of the nature of the ship fuel supply contract in the judgment and the decision may lead the shipowner to face the risk of double indemnity, which directly affects the relationship between the rights and obligations of the main body of fuel trading. Therefore, the study on the legal issues of marine fuel supply contract is of great practical significance to shipping and judicial practice. The full text is divided into three parts: introduction, text and conclusion. The main body part is divided into four chapters: the first chapter, the overview of the marine fuel supply contract. This chapter mainly introduces the concept, common format and legal relationship of marine fuel supply contract, and analyzes and compares O. W. The standard format contract and the BIMCO standard fuel contract are commonly used. The legal relationship of the contract is introduced from the aspects of the subject of the contract and the relationship between the rights and obligations of both parties. Chapter two: nature and characteristics of Marine fuel supply contract. In this chapter, the author makes a detailed analysis and comparison of the attributes of the marine fuel supply contract, and puts forward his own views through the comparison. Then summarizes the ship fuel supply contract is different from other types of contract special place. Chapter three: legal risk to the parties under the contract of supply of Marine fuel. According to the nature and characteristics of the marine fuel supply contract and combined with relevant cases, this chapter discusses the legal risks faced by the shipowner and the supplier under the marine fuel supply contract. Chapter IV: risk Prevention of the parties under the contract of supply of Marine fuel. This chapter mainly aims at the legal risk faced by each party concerned in the contract, referring to the laws, precedents and relevant suggestions of international organizations, and puts forward some feasible preventive measures. In order to avoid the parties to the contract under the legal risk.
