论环评机构的组织形式与连带侵权责任的承担

【摘要】：随着环保部门着力推动环评机构脱钩改制工作,我国大部分原来属于事业单位法人的环评机构将转变为企业法人。尽管环评机构的公司化改制有利于环评市场的充分竞争,提高环评的质量,但是环评机构作为一种轻资产的人力资本密集型的组织,其承担环评执业风险的能力存在疑问。本文在分析了环评机构的法律责任及其发展的基础上,分别对公司制和合伙制的环评机构的特点及其法律责任的承担进行了研究。尽管新《环境保护法》第六十五条规定了环评机构的连带责任,但公司制的环评机构因其轻资产和法人有限责任仍有可能导致其承担连带责任落空,无法实现立法所欲达到的惩罚、预防及补偿的目的 ;而采用普通合伙人承担无限连带责任的合伙制的组织形式更符合环评行业的特点,有利于促进其效率的提高和自律的实现,也有利于连带责任的实现。
[Abstract]:With the efforts of the environmental protection departments to promote the decoupling and reform of the EIA institutions, most of the EIA agencies that were originally legal persons of public institutions in China will be transformed into enterprise legal persons. Although the corporatization of the EIA agencies is conducive to the full competition in the EIA market, Improving the quality of EIA, but as a kind of human capital intensive organization with light assets, its ability to bear the risk of EIA practice is in doubt. This paper analyzes the legal responsibility of EIA organization and its development. The characteristics and legal liability of the corporate and partnership EIA agencies are studied respectively. Although the joint liability of the EIA agencies is stipulated in Article 65th of the new Environmental Protection Law, However, because of its light assets and limited liability of legal persons, the company system of environmental assessment institutions may still lead to the failure of joint and several liability, which can not achieve the goal of punishment, prevention and compensation. The organizational form of partnership with unlimited joint and several liability of general partners is more in line with the characteristics of the environmental assessment industry, which is conducive to the improvement of its efficiency and self-discipline, but also to the realization of joint and several liability.
