【摘要】：经营者集中是推动经济集中和实现规模经济的最佳途径。但是作为竞争产物的经营者集中必然也成为了一把“双刃剑”,可能会形成垄断,妨碍竞争。近几年我国关于经营者集中规制的法律法规相继出台,相比国外的详尽的立法和丰富的实践经验,我国的相应规定还不够完善,执法的实践经验也不足。本文力求从我国实际出发,研究借鉴国外的相关立法和执法经验,对我国的体系进行详尽探讨,提出对经营者集中救济制度完善的构想和建议。本文除了引言和结语外,主要内容的阐述和探讨分为四个部分: 第一部分为经营者集中救济制度的一般理论。该部分主要从对经营者集中概述的角度出发,进而说明对经营者集中规制的一种重要制度即经营者集中救济制度。本文主要将经营者集中救济分为结构性救济和行为性救济两大类,介绍了经营者集中救济的概念、类型以及对其价值进行分析,下文的介绍也是以此为基础。经营者集中救济制度重要的价值就是合理地协调了对市场竞争有效性、公平性的要求与经营者自身壮大发展的追求之间的关系,维护了可预期的有效的市场竞争的秩序,通过一个灵活、合理的法定体系把集中的恶性后果的发生几率降低到一个很低的水平。第二部分为经营者集中救济制度的理论基础。该部分主要阐述了经营者集中救济制度的理论基础,包括其经济法基础、经济学基础,其中包括对其隐含的价值关系的内涵进行的思考和探讨,以期充实经营者集中救济制度的内涵层面。经营者集中救济措施的设计体现了经济法的基本价值和精神,充分保证了秩序、自由和公平的理念,同时还以社会利益的和谐为指针。与此同时,竞争政策和产业政策的调和也是救济制度的设计依据。第三部分为国外经营者集中救济制度的经验借鉴。该部分主要将视野伸向发达国家和地区,其中主要是美国、欧盟、日本,介绍了国外经营者集中救济制度的立法、执法经验,着重介绍对我国相关制度的完善具有借鉴意义的有利经验和应当注意的问题。第四部分为我国经营者集中救济制度的完善建议。该部分主要考察我国经营者集中救济制度的构建、完善以及实施。通过我国的现实情况说明该制度的完善的重要性,并就经营者集中救济制度应如何完善和补充做了构想。
[Abstract]:Concentration of operators is the best way to promote economic concentration and realize economies of scale, but the concentration of operators as a product of competition must also become a "double-edged sword", which may form a monopoly. In recent years, the laws and regulations on concentration regulation of operators have been issued in our country. Compared with the detailed legislation and rich practical experience of foreign countries, the corresponding regulations of our country are not perfect enough. This paper tries to start from the reality of our country, study and learn from the relevant legislation and law enforcement experience of foreign countries, and discuss the system of our country in detail. Put forward to the operator concentrated relief system to improve the concept and suggestions. In addition to the introduction and conclusion, the main content of this paper is divided into four parts: The first part is the general theory of the operator concentrated relief system. Then it explains an important system of centralization regulation of operator, that is, the centralized relief system of operator, which is divided into two categories: structural relief and behavioral relief in this paper. This paper introduces the concept, type and value of the operator's centralized relief. The following introduction is also based on this. The important value of the operator centralized relief system is to reasonably coordinate the relationship between the effectiveness of market competition, the requirement of fairness and the pursuit of the operator's own growth and development. It maintains a predictable and effective order of market competition and reduces the probability of centralized malignant consequences to a very low level through a flexible and reasonable legal system. The second part is the theoretical basis of the operator's centralized relief system. This part mainly expounds the theoretical basis of the operator's centralized relief system, including its economic law basis and economic basis. It includes thinking and discussing the connotation of its implied value relation. In order to enrich the intension level of the operator's centralized relief system, the design of the operator's centralized relief measures embodies the basic value and spirit of the economic law, and fully guarantees the idea of order, freedom and fairness. Meanwhile, the harmony between competition policy and industrial policy is the basis for the design of relief system. The third part is the experience of the foreign operator concentrated relief system. This part mainly extends to the developed countries and regions, mainly the United States, the European Union, Japan. This paper introduces the legislation and law enforcement experience of foreign operators' centralized relief system, and emphatically introduces the beneficial experiences and problems that should be paid attention to in the improvement of relevant systems in China. The 4th part is the suggestion for the improvement of the centralized relief system of the operators in China. This part mainly investigates the construction of the centralized relief system of the operators in China. Through the reality of our country, the importance of the perfection of the system is explained, and the idea of how to perfect and supplement the centralized relief system of the operator is put forward.
